Empresas ICA, S.A.B. de C.V., through its subsidiaries, operates as an infrastructure and construction company in Mexico and Latin America. The company operates through five segments: Civil Construction, Industrial Construction, Concessions, Airports, and Corporate and Other. The Civil Construction segment focuses on the construction of infrastructure projects, such as roads, highways, transportation facilities, bridges, dams, hydroelectric plants, prisons, tunnels, canals, and airports in Mexico, as well as in other parts of Latin America, the Caribbean, Asia, and the United States. This segment is also involved in the construction, development, and remodeling of multi-storied urban buildings comprising office buildings, multiple-dwelling housing developments, and shopping centers. The Industrial Construction segment focuses on the engineering, procurement, construction, design, and commissioning of manufacturing facilities, such as power plants, chemical plants, petrochemical plants, fertilizer plants, pharmaceutical plants, steel mills, paper mills, drilling platforms, and automobile and cement factories. The Airports segment operates 13 airports in the Central North region of Mexico pursuant to concessions granted by the Mexican government, including the Monterrey airport. The Concessions segment focuses on the construction, development, maintenance, and operation of long-term concessions of toll roads, tunnels, social infrastructure, and water projects for Mexican state and municipal governments, and the governments of foreign countries. The Corporate and Other segment is involved in real estate operations, including its affordable entry-level housing operations. Empresas ICA, S.A.B. de C.V. was founded in 1947 and is based in Mexico City, Mexico.

Empresas ICA, S.A.B. de C.V. and CDPQ Announce Completion of the Transaction to Create an Operational Platform

Empresas ICA, S.A.B. de C.V. and CDPQ announced the completion of the transaction to create an operational platform that owns the concessions for four of ICA’s operational toll roads and highways. The operational platform, ICA Operadora de Vías Terrestres is a newly formed joint venture company. ICA transferred its ownership interest in the concessionaires for the four projects to ICA OVT. Under the terms of the transaction, ICA owns 51% of the platform and CDPQ 49%. For its equity interest, CDPQ is paying ICA MXN 3,014 million which will in turn be principally used to prepay ICA’s short term corporate debt. ICA and CDPQ will operate the joint venture with a focus on participating in the operation and acquisition of highway and toll-road infrastructure assets in Mexico. ICA will continue to be responsible for the operation of the highways and for all maintenance requirements. The four highways and tollroads included in the initial transaction are, Mayab tollroad, Rioverde – Ciudad Valles highway, La Piedad Bypass and the Acapulco Tunnel.

Empresas ICA, S.A.B. de C.V. Announces Unaudited Consolidated Earnings and Operating Results for the First Quarter Ended March 31, 2015

Empresas ICA, S.A.B. de C.V. announced unaudited consolidated earnings and operating results for the first quarter ended March 31, 2015. For the quarter, the company’s revenues were MXN 8,822 million against MXN 7,980 million a year ago. Operating income was MXN 1,155 million against MXN 1,081 million a year ago. Loss before income taxes MXN 1,172 million against income before income taxes of MXN 315 million a year ago. Consolidated net income was MXN 708 million against MXN 237 million a year ago. Net loss of controlling interest was MXN 846 million or MXN 1.38 per share against MXN 24 million or MXN 0.04 per share a year ago. Adjusted EBITDA was MXN 1,676 million against MXN 1,579 million a year ago. LPADS was USD 0.36 against USD 0.01 a year ago. The loss resulted principally from the exchange loss of MXN 1,080 million included in comprehensive financing cost. Net debt was MXN 48,928 million as of March 31, 2015 against MXN 46,753 million as of December 31, 2014. Net cash flow from operating activities was MXN 2,094 million against MXN 1,092 million a year ago. Acquisition of real estate, machinery and equipment was MXN 61 million against MXN 145 million a year ago. Acquisition of other long term assets was MXN 1,287 million against MXN 1,043 million a year ago. For the quarter, the company’s concessions highway traffic, ADTV was 3,480 against 3,260 a year ago. Airports passenger traffic was 3,803,000 against 3,236,000 a year ago. The traffic volumes for the concessioned highways in the first quarter of 2015 rose 7% as a result of traffic growth in most of the operating projects.
