On August 18, 2015, prior to the closing of the IPO, Houlihan Lokey, Inc. amended and restated its certificate of incorporation, which was filed with the Secretary of State of the State of Delaware on August 18, 2015. The Certificate of Incorporation amends and restates in its entirety the company's original certificate of incorporation, which was filed with the Secretary of State of the State of Delaware on June 1, 2015. The Certificate of Incorporation, among other things: increases the authorized number of shares of common stock to 2,000,000,000 shares (1,000,000,000 shares of Class A Common Stock and 1,000,000,000 shares of Class B Common Stock, respectively, par value $0.001); authorizes 5,000,000 shares of undesignated preferred stock that may be issued from time to time by the company's board of directors in one or more series; establishes a classified board of directors, divided into three classes, each of whose members will serve for staggered three-year terms; provides that, after the Final Conversion Date, directors of the company may be removed from office only for cause and designates, unless otherwise consented to by the company, the Court of Chancery of the State of Delaware to be the sole and exclusive forum for certain actions, including, but not limited to, derivative actions or proceedings brought on behalf of the company or actions asserting claims of breach of a fiduciary duty owed by, or other wrongdoing by, any of the company's directors, officers, employees or agents to the company or the company's stockholders. Houlihan Lokey Inc. hired Stephan Hartman for its mergers and acquisitions group in corporate finance, where he will focus on midcap public companies. He is based in New York. Hartman joins from Apollo Global Management LLC, where he was a managing director and head of the global acquisitions deal sourcing group, which he built. Before Apollo, he led cross-border M&A teams and business development at EuroConsult M&A and G.C. Hartman also has a legal background, having graduated from the Villanova University School of Law in 1993. He practiced at Lesser & Kaplin in Philadelphia, was a vice president and general counsel at Global Internet Management and a partner in Premier Business Plans. On a more personal note, he has been chairman of the board of U.S Sports Film Festival since 2005.

Houlihan Lokey Announces Executive Appointments

Houlihan Lokey announced that it has acquired MESA Securities, Inc. The transaction closed on June 19, 2015. The MESA team will join Houlihan Lokey's existing Technology, Media & Telecommunications (TMT) Group, with Mark Patricof, Managing Partner and one of MESA's co-founders, joining John Cooper, Rob Louv, and Chris Wilson as one of the Co-Heads of the group. MESA's two other co-founders, Jerome Levy and Brian Richards, will join the group as Managing Directors.
