As of December 31, 2014, the company operated through a network of 27 banking offices in the Greater Lafayette, Northshore, Baton Rouge, and Greater New Orleans regions of south Louisiana and west Mississippi. A Class Action Lawsuit Files Against Louisiana Bancorp, Inc. Relating to the Proposed Merger of Louisiana Bancorp, Inc. with Home Bancorp, Inc

On July 31, 2015, a putative shareholder derivative and class action lawsuit relating to the proposed merger of Louisiana Bancorp, Inc. with Home Bancorp, Inc., captioned Smith v. Louisiana Bancorp, Inc., et al., was filed in the 24th Judicial District Court for the Parish of Jefferson, State of Louisiana. In addition to Louisiana Bancorp, the complaint names as defendants each of Louisiana Bancorp's directors as well as Home Bancorp. The complaint alleges that the members of Louisiana Bancorp's board of directors breached their fiduciary duties to Louisiana Bancorp's shareholders and/or violated Louisiana law in connection with the negotiation and approval of the merger agreement. The complaint also alleges claims against Louisiana Bancorp and Home Bancorp for aiding and abetting these alleged breaches of fiduciary duties. Among other relief, the plaintiff seeks to enjoin the consummation of the proposed merger or, in the event the proposed merger is consummated, rescission thereof. Each of the defendants believes the claims asserted in this action are without merit and intends to vigorously defend against this lawsuit. However, at this time, it is not possible to predict the outcome of the proceeding or its impact on Louisiana Bancorp, Home Bancorp or the proposed merger. In addition, the plaintiff in the putative shareholder derivative and class action lawsuit relating to the proposed merger captioned Slemrod v. Louisiana Bancorp, Inc., et al. has filed a motion to dismiss such lawsuit.

Home Bancorp, Inc. announced that its Board of Directors increased its cash dividend of $0.01 to $0.08 per share, payable on August 21, 2015, to shareholders of record as of August 10, 2015. The company announced consolidated earnings results for the second quarter and six months ended June 30, 2015. For the quarter, the company reported total interest income of $13,588,020 compared to $13,939,579 a year ago. Net interest income was $12,764,841 compared to $13,101,624 a year ago. Book value at period end was $22.01 compared to $20.86 a year ago. Tangible book value at period end was $21.47 compared to $20.20 a year ago. The company recorded net loan charge-offs of $100,000 during the second quarter of 2015, compared to net loan charge-offs of $26,000 and $157,000 in the first quarter of 2015 and the second quarter of 2014, respectively.
