First National Financial Corporation Announces Earnings Results for the First Quarter Ended March 31, 2015

First National Financial Corporation announced earnings results for the first quarter ended March 31, 2015. For the quarter, revenue was down 3% to $167.5 million from $172.7 million in the first quarter of 2014, due to higher losses on financial instruments which increased by $33.0 million over last year. Net loss was $3.5 million or $0.09 loss per common share compared to net income of $23.1 million or $0.35 per common share in the first quarter of 2014. Loss before income taxes was $4.9 million compared to income before income taxes of $31.3 million in the first quarter of 2014. Pre-FMV EBITDA was $38.4 million compared to $41.4 million in the first quarter of 2014. On both the pretax and net income basis, the company experienced a loss in the quarter due to loss on the fair value of financial instruments used to hedge interest [ph] hedge in a volatile bond market.

First National Financial Corporation Issues $175 Million of 5-Year Unsecured Notes

First National Financial Corporation announced it has issued $175,000,000 of new senior unsecured notes. Priced at $99.96 each, the notes were issued pursuant to a private placement under an offering memorandum for a five-year term maturing on April 9, 2020. The notes bear interest at 4.01% payable in equal semi-annual payments commencing October 9, 2015. The net proceeds of the issuance will be invested in First National Financial LP which in turn will repay a portion of the outstanding amount drawn on its bank credit facility. On May 7, 2015, the LP plans to draw on the bank credit facility to repay the company's maturing 5.07% $175,000,000 debentures.
