It also provides design and engineering services, including contract design and joint development manufacturing services, which cover various technical competencies, such as system architecture, user interface and industrial design, mechanical engineering, technology, enclosure systems, thermal and tooling design, electronic system design, reliability and failure analysis, and component level development engineering; and systems assembly and manufacturing services, such as enclosures, testing services, and materials procurement and inventory management. In addition, the company provides component product solutions, including rigid and flexible printed circuit board fabrication, and power supplies; after-market supply chain logistics services; and reverse logistics and repair services, such as returns management, exchange programs, complex repair, asset recovery, recycling and e-waste management for consumer and midrange products, printers, smart phones, consumer medical devices, notebooks, PC's, set-top boxes, game consoles, and infrastructure products. Flextronics International Ltd. Completes the Issuance and Sale of $600,000,000 Aggregate Principal Amount of its 4.750% Notes Due 2025

On June 8, 2015, Flextronics International Ltd. completed the issuance and sale of $600,000,000 aggregate principal amount of its 4.750% Notes due 2025 through a private placement to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended, and to non-U.S. persons outside the United States pursuant to Regulation S under the Securities Act. The company received net proceeds of approximately $587.8 million from the Notes Offering. Flextronics intends to use the net proceeds from the Notes Offering for general corporate purposes. The Notes were issued pursuant to an indenture, dated as of June 8, 2015, between the company, certain subsidiaries of the company party thereto and U.S. Bank National Association, as trustee. The Notes mature on June 15, 2025 and bear interest at a rate of 4.750% per annum, payable semi-annually on June 15 and December 15 of each year, commencing on December 15, 2015. The Notes are senior unsecured obligations of the company and rank equally with all of the company's other existing and future senior and unsecured debt obligations. At any time prior to March 15, 2025, the Company may redeem some or all of the Notes at a redemption price equal to 100% of the principal amount of the Notes redeemed, plus an applicable premium and accrued and unpaid interest, if any, to the applicable redemption date. At any time on or after March 15, 2025, the Company may redeem some or all of the Notes at a redemption price equal to 100% of the principal amount of the Notes redeemed and accrued and unpaid interest, if any, to the applicable redemption date. Upon the occurrence of a change of control repurchase event, the company must offer to repurchase the Notes at a repurchase price equal to 101% of the principal amount of the Notes repurchased, plus accrued and unpaid interest, if any, to the applicable repurchase date.

Flextronics Announces Pricing of $600 Million 4.750% Notes Due 2025

Flextronics announced that it has priced its offering of $600 million aggregate principal amount of 4.750% Notes due 2025. The Notes will be issued at a price equal to 99.213% of their face value. The Notes will mature on June 15, 2025, unless repurchased or redeemed in accordance with their terms prior to such date. The sale of the Notes is expected to close on June 8, 2015, subject to customary closing conditions. Flextronics intends to use the net proceeds from the offering for general corporate purposes. The Notes and the related guarantees are being offered and sold to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended, and to non-U.S. persons outside the United States pursuant to Regulation S under the Securities Act.
