Dover Corporation manufactures and sells a range of equipment and components, specialty systems, and support services in the United States. The company operates in four segments: Energy, Engineered Systems, Fluids, and Refrigeration & Food Equipment. The Energy segment provides solutions and services for the production and processing of oil, natural gas liquids, and gas to drilling and production, bearings and compression, and automation end markets. The Engineered Systems segment offers precision marking and coding, digital textile, soldering and dispensing equipment, and related consumables and services; and automation components, including manual clamps, power clamps, rotary and linear mechanical indexers, conveyors, pick and place units, glove ports, and manipulators, as well as end-of-arm robotic grippers, slides, and end effectors for printing and identification, vehicle service, waste handling, and industrial end markets. The Fluids segment focuses on the safe handling of critical fluids across the retail fueling, chemical, hygienic, and industrial markets. It also manufactures connectors for use in various bio-processing applications; and reciprocating pumps that are used in demanding and specialized fluid transfer process applications. The Refrigeration & Food Equipment segment provides refrigeration systems, refrigeration display cases, walk-in coolers and freezers, specialty glass, commercial glass refrigerator and freezer doors, and brazed heat exchangers; and electrical distribution products and engineering services, commercial food service equipment, cook-chill production systems, custom food storage and preparation products, kitchen ventilation systems, conveyer systems, beverage can-making machinery, and packaging machines used for meat, poultry, and other food products. The company was founded in 1947 and is headquartered in Downers Grove, Illinois.

Dover Corporation Reports Unaudited Consolidated Earnings Results for the First Quarter Ended March 31, 2015; Reaffirms Earnings Guidance for the Year 2015; Provides Revenue Guidance for the Second Quarter of 2015

Dover Corporation reported unaudited consolidated earnings results for the first quarter ended March 31, 2015. For the quarter, the company reported net earnings of $209,510,000 or $1.28 per diluted share on revenues of $1,715,501,000 compared to net earnings of $160,138,000 or $0.93 per diluted share on revenues of $1,802,570,000 a year ago. Operating earnings were $192,525,000 compared to $274,456,000 a year ago. Earnings before provision for income taxes and discontinued operations were $164,675,000 compared to $241,610,000 a year ago. Earnings from continuing operations were $117,190,000 or $0.72 per basic and diluted share compared to $170,041,000 or $0.99 per diluted share a year ago. The decrease in revenue was driven by an organic revenue decline of 6% and a 4% unfavorable impact from foreign exchange, offset in part by 5% growth from acquisitions. Excluding discrete tax benefits recognized in the prior year period, EPS from continuing operations for the first quarter of 2015 decreased 26% from an adjusted EPS of $0.97 in the prior year period. Adjusted earnings from continuing operations were $117,190,000 or $0.72 per diluted share compared to $167,500,000 or $0.97 per diluted share a year ago. Cash flow from operating activities was $131,332,000 compared to $28,361,000 a year ago. Additions to property, plant and equipment was $27,956,000 compared to $32,695,000 a year ago. Free cash flow was $103,376,000 compared to $4,334,000 a year ago. Capital expenditures were $28 million in the quarter. The company re-affirmed the recently updated 2015 guidance. The company expects full-year revenue to decline 4% to 6%. Within the revenue forecast, organic growth is anticipated to decline 2% to 4%, completed acquisitions will provide approximately 2% growth, and FX is expected to be a 4% headwind. In total, full year adjusted EPS is expected to be in the range of $4.20 to $4.40, inclusive of $0.15 to $0.18 of restructuring charges. For the full year, the company expects to generate free cash flow of approximately 11% of revenue. The company now expects full year normalized tax rate to be approximately 29%. Capex should be about 2.3% of revenue, and full year free cash flow will be approximately 11% of revenue. Regarding the second quarter of 2015, the company expects revenue to be up 7% to 9% sequentially, largely driven by a seasonal increase in Refrigeration & Food Equipment and a sequential decline in Energy.
