DCC plc provides sales, marketing, distribution, and business support services worldwide. The company’s Energy segment offers oil and liquefied petroleum gas products, and fuel cards. It supplies transport fuels, and heating and fuel oils to commercial, retail, agricultural, industrial, aviation, and marine customers. As of March 31, 2014, this segment served approximately 1 million customers through a network of 400 facilities. Its Technology segment sells home entertainment and consumer products, including games consoles and software, DVDs, consumer electronics, AV accessories, and peripherals to e-tailers, grocers, specialist and small independent retailers, and catalogue retailers; and distributes IT and communication products, including PCs, tablets, printers, smartphones, peripherals, consumables,servers, and networking and security products to resellers, dealers, retailers, and e-tailers. This segment also provides supply chain management services. The company’s Healthcare segment markets, sells, and distributes pharmaceuticals and medical devices to hospitals, retail pharmacies, and homecare channels; and outsourced product development, manufacturing, packing, and other services to the health and beauty industry. This segment also provides generic pharmaceutical products in the areas of antibiotics, oncology, pain management, respiratory, haematology, emergency medicine, and addiction. Its Environmental segment provides recycling, waste management, and resource recovery services to the industrial, commercial, construction, and public sectors. The company’s Food & Beverage segment markets and sells food and beverage products, as well as wine to grocery multiples, symbol and independent retailers, pharmacies, off-licenses, hotels, restaurants, and cafes; and provides frozen food products, as well as category management and merchandising services. DCC plc was founded in 1976 and is headquartered in Blackrock, Ireland.

DCC plc Recommends Final Dividend, Payable on July 23, 2015; Reports Preliminary Consolidated Earnings Results for the Year March 31, 2015

DCC plc announced that the board is recommending an increase of 10% in the final dividend to 55.81 pence per share, which, when added to the interim dividend of 28.73 pence per share, gives a total dividend for the year of 84.54 pence per share. This represents a 10% increase over the total prior year dividend of 76.85 pence per share.  It is proposed to pay the final dividend on July 23, 2015 to shareholders on the register at the close of business on May 29, 2015.  The company reported preliminary consolidated earnings results for the year March 31, 2015. For the year, the company reported revenue of GBP 10,606,080,000 compared to GBP 11,044,763,000 a year ago. Operating profit before amortization of intangible assets was GBP 201,912,000 compared to GBP 192,135,000 a year ago. Operating profit was GBP 177,855,000 compared to GBP 172,479,000 a year ago. Profit before tax was GBP 163,305,000 compared to GBP 151,025,000 a year ago. Profit after tax for financial year was GBP 144,424,000 compared to GBP 123,943,000 a year ago. Profit attributable to owners of the parent company was GBP 144,427,000 compared to GBP 121,234,000 a year ago. Diluted earnings per share were 170.73 pence compared to 143.90 pence a year ago. Diluted earnings per ordinary share from continuing operations were 152.10 pence compared to 143.22 pence a year ago. Profit before tax from continuing operations was GBP 147,138,000 compared to GBP 149,740,000 a year ago. Net cash flows from operating activities were GBP 269,325,000 compared to GBP 242,722,000 a year ago. Purchase of property plant and equipment was GBP 79,401,000 compared to GBP 78,557,000 a year ago. Total adjusted earnings per share increased by 9.4% to 209.2 pence. On a continuing basis, adjusted earnings per share increased by 9.8% to 202.2 pence. Free cash flow was GBP 314.5 million compared to GBP 277 million a year ago.

DCC Energy Makes An Offer To Acquire Butagaz

DCC plc (LSE:DCC) announces that DCC Energy France SAS has made a binding offer to acquire Butagaz SAS, from Royal Dutch Shell plc (ENXTAM:RDSA) for €464 million. DCC Energy has been granted exclusivity while Shell consults with the staff councils of both Butagaz and Société des Pétroles Shell SAS; Butagaz SAS. The valuation for Butagaz, on a debt-free, cash-free basis is €464 million. The consideration for the share capital of Butagaz would ultimately be determined on the basis of a completion balance sheet. DCC has entered into a binding commitment which obligates DCC to enter into an acquisition agreement following completion of Shell's consultation process with its French Works Councils. The acquisition will require EU competition and French Ministry of Economy clearance. The transaction would be expected to complete in the final calendar quarter of 2015. J.P. Morgan Cazenove acted as financial adviser to DCC in relation to this transaction.
