CVS Health Corporation, together with its subsidiaries, provides integrated pharmacy health care services in the United States. The company operates through Pharmacy Services and Retail Pharmacy segments. The Pharmacy Services segment offers pharmacy benefit management services, such as plan design and administration, formulary management, Medicare Part D services, mail order and specialty pharmacy services, retail pharmacy network management services, prescription management systems, clinical services, disease management programs, and medical pharmacy management services. This segment serves employers, insurance companies, unions, government employee groups, health plans, managed Medicaid plans and plans offered on public and private organizations, other sponsors of health benefit plans, and individuals under the CVS/caremark Pharmacy Services, Caremark, CarePlus CVS/pharmacy, RxAmerica, Accordant, SilverScript, Coram CVS/specialty, NovoLogix, and Navarro Health Services names. The Retail Pharmacy segment sells prescription drugs, over-the-counter drugs, beauty products and cosmetics, personal care products, convenience foods, seasonal merchandise, and greeting cards, as well as provides photo finishing services. As of December 31, 2014, it operated 7,822 retail drugstores, 860 health care clinics, 17 onsite pharmacy stores, 27 retail specialty pharmacy stores, 11 specialty mail order pharmacies, 4 mail service dispensing pharmacies, and 86 branches, as well as 6 centers of excellence for infusion and enteral services. The company was formerly known as CVS Caremark Corporation and changed its name to CVS Health Corporation in September 2014. CVS Health Corporation was founded in 1892 and is headquartered in Woonsocket, Rhode Island.

CVS Health Corporation announced unaudited consolidated earnings results for the first quarter ended March 31, 2015. For the quarter, net revenues were $36,332 million against $32,689 a million a year ago. Operating profit was $2,132 million against $2,024 million a year ago. Income before income tax provision was $1,998 million against $1,866 million a year ago. Net income was $1,221 million or $1.07 per diluted share against $1,129 million or $0.95 per diluted share a year ago. Net cash provided by operating activities was $1,984 million against $2,172 million a year ago. Purchases of property and equipment were $419 million against $388 million a year ago. Adjusted income before income tax provision was $2,127 million against $1,997 million a year ago. Adjusted net income was $1,294 million against $1,208 million a year ago. Adjusted earnings per share were $1.14 against $1.02 a year ago. Free cash flow $1,590 million against $1,789 million a year ago. The company generated approximately $1.8 billion of free cash. The company expects to deliver Adjusted EPS of $1.17 to $1.20 and GAAP diluted EPS from continuing operations of $1.10 to $1.13 in the second quarter of 2015. The company raised the low end of its EPS guidance range for the full year 2015. The company now expects to deliver Adjusted EPS of $5.08 to $5.19, up from $5.05 to $5.19, and GAAP diluted EPS from continuing operations of $4.80 to $4.91, up from $4.77 to $4.91 in 2015. The company also continues to expect to deliver 2015 free cash flow of $5.9 billion to $6.2 billion, and 2015 cash flow from operations of $7.6 billion to $7.9 billion. The company expects Consolidated net revenue growth to be 7% to 8.25%.

Investors Reportedly Eyes Stake In Omnicare

Omnicare Inc. (NYSE:OCR) is drawing interest from potential buyers including Express Scripts Holding Company (NasdaqGS:ESRX) and CVS Health Corporation (NYSE:CVS), people with knowledge of the matter said. Initial bids for Omnicare, which has a market value of about $8.5 billion, are due in May, the people said, asking not to be identified discussing private information. Omnicare is working with Bank of America Corp. and Centerview Partners to explore options including a possible sale, the people said. Potential bidders also include Walgreens Boots Alliance, Inc. (NasdaqGS:WBA) and McKesson Corporation (NYSE:MCK), the people said. For any of the potential buyers, Omnicare would offer a way to boost earnings and dividends, analysts have said. Omnicare climbed 1.8% to $87.98 at the close in New York. There is no certainty Omnicare will reach a deal with any of the bidders, one of the people cautioned. Representatives for CVS, Express Scripts, McKesson and Walgreens declined to comment. A representative for Omnicare declined to comment, while spokesmen for Bank of America and Centerview didn’t immediately respond to requests for comment.
