Cooper-Standard Holdings Inc., through its subsidiaries, designs, manufactures, and sells sealing, fuel and brake delivery, fluid transfer and anti-vibration systems components, subsystems, and modules. Its sealing systems comprise dynamic and static seals, encapsulated glass, specialty sealing products, stainless steel and polycarbonate hardcoat trims, flush glass systems, variable extrusions, agrifiber seals, and films for thermoplastic vulcanizate and polypropylene seals. The company’s fuel and brake delivery systems include chassis and tank fuel lines and bundles, metallic brake lines and bundles, direct injection and port fuel rails, and quick connects. Its fluid transfer systems consist of heater/coolant hoses, DPF emission lines, degas tanks, air intake and charge products, and powertrain lines, as well as turbo charger, secondary air, and brake and clutch hoses. The company also provides anti vibration systems, such as powertrain mount systems comprising elastomeric, conventional, hydraulic, and multi-state that are used for engine and transmission applications; chassis and suspension mount systems, including conventional and hydraulic bushings, strut mounts, spring seats, bumpers, mass dampers, and dual durometer bushings; and body and frame mount systems. Its products are primarily used in passenger vehicles and light trucks that are manufactured by automotive original equipment manufacturers and replacement markets. Cooper-Standard Holdings Inc. was founded in 1960 and is headquartered in Novi, Michigan.

Cooper-Standard Holdings Inc. announced financial results for the fourth quarter and full year ended December 31, 2014. Cooper Standard reported revenue of $767.9 million for the fourth quarter of 2014, as compared to $794.2 million in the same quarter of the previous year. The decline was primarily driven by unfavorable foreign exchange of $31.5 million. Operating profit for the fourth quarter of 2014 was $7.1 million, as compared to $14.6 million in the same quarter in 2013. Favorable gross profit and lower restructuring charges of $8.2 million were more than offset by noncash impairment charges of $26.3 million and pension settlement charges of $3.6 million. The company reported a net loss of $12.8 million in the fourth quarter of 2014, compared to a net loss of $20.8 million in the same quarter of 2013. For the fourth quarter of 2014, Cooper Standard reported adjusted EBITDA of $72.1 million or 9.4% of sales, up from $58.7 million or 7.4% of sales in the same quarter in 2013. EBITDA was $43.0 million against $32.8 million a year ago. Full year revenue was $3.2 billion, up from $3.1 billion in 2013, driven by an increase in production volume in North America, Europe and Asia Pacific. In addition, the Jyco acquisition, which was completed on July 31, 2013, provided $45.2 million of incremental sales. Full year sales were partially offset by unfavorable foreign exchange and customer price concessions. Despite fourth quarter charges, full year operating profit was $164.5 million or 5.1% of sales, up from $142.1 million or 4.6% of sales driven by revenue growth, gross profit expansion, lower restructuring costs, and the gain on the sale of the company's thermal and emissions product line. For the full year 2014, the company reported a net income of $42.8 million or $2.39 per share on a fully diluted basis. This compares with net income of $47.9 million or $2.24 per share in 2013. Net income for the year also included $18.9 million (after tax) of debt extinguishment costs related to the Company's debt repurchase transactions that were completed in second quarter 2014. Adjusted EBITDA for the full year 2014 was $311.5 million, or 9.6% of sales, compared to $287.4 million, or 9.3% of sales in 2013. EBITDA was $259.5 million against $243.8 million a year ago. The company's capital expenditures for the year was $192 million. The company provided consolidated earnings guidance for the full year of 2015. For the year, the company expects sales to be in the range of $3.3 billion- $3.4 billion and capital expenditures to be in the range of $185 million - $210 million.
