Costco Wholesale Corporation, together with its subsidiaries, operates membership warehouses. The company offers branded and private-label products in a range of merchandise categories. It provides dry and institutionally packaged foods; snack foods, candy, tobacco, alcoholic and nonalcoholic beverages, and cleaning and institutional supplies; appliances, electronics, health and beauty aids, hardware, garden and patio, and office supplies; meat, bakery, deli, and produce; and apparel, small appliances, and home furnishings. The company also operates gas stations, pharmacies, food courts, optical dispensing centers, photo processing centers, and hearing-aid centers; and engages in the travel business. In addition, it provides gold star (individual) and business membership services. As of October 8, 2014, it operated 664 warehouses, including 469 warehouses in the United States and Puerto Rico, 88 in Canada, 33 in Mexico, 26 in the United Kingdom, 20 in Japan, 11 in Korea, 10 in Taiwan, 6 in Australia, and 1 in Spain. Costco Wholesale Corporation also sells its products through online. The company, formerly known as Costco Companies, Inc., was founded in 1976 and is based in Issaquah, Washington.

Costco Wholesale Corporation announced unaudited consolidated earnings results for the third quarter and first thirty six weeks ended May 10, 2015. Net income attributable to company for the quarter was $516 million, or $1.17 per diluted share, compared to $473 million, or $1.07 per diluted share, last year. Net sales for the quarter increased 1% to $25.52 billion, from $25.23 billion last year. Total revenue was $26,101 million against $25,794 million reported last year. Operating income was $821 million against $737 million reported last year. Income before income taxes was $799 million against $724 million reported last year. Capex was $421 million. Net income attributable to company for the thirty-six weeks was $1.61 billion, or $3.64 per diluted share, compared to $1.36 billion, or $3.07 per diluted share, last year. Net sales for the first thirty-six weeks increased 4% to $78.67 billion, from $75.46 billion last year. Total revenue was $80,421 million against $77,117 million reported last year. Operating income was $2,468 million against $2,129 million reported last year. Income before income taxes was $2,448 million against $2,111 million reported last year. Net income for the thirty-six-week period was positively impacted by a $57 million or $0.13 per diluted share tax benefit in connection with a second quarter special cash dividend to the extent received by the Company 401(k) plan participants; and was negatively impacted by a $14 million or $0.03 per diluted share second quarter tax charge relating to an ongoing income tax matter. CapEx was $1.6 billion. For the year 2015, the company expects CapEx is somewhere in the $2.4 billion to $2.5 billion range.

Costco Wholesale announced sales results for the month of April, the four weeks and thirty-five weeks ended May 3, 2015. The company reported net sales of $8.75 billion for the month of April, the four weeks ended May 3, 2015, an increase of 2% from $8.56 billion during the similar period last year. This year's sales reflects one additional sales day than last year, due to the timing of the Easter holiday. For the thirty-five weeks ended May 3, 2015, the company reported net sales of $76.33 billion, an increase of 4% from $73.21 billion during the similar period last year.

Costco Wholesale Corporation Receives Non-Compliance Notice From NASDAQ

On May 1, 2015, Benjamin S. Carson, Sr., M.D., an independent member of the board of directors and Chairman of the Costco Wholesale Corporation’s Compensation Committee, resigned from the Board. Pursuant to the rules of The Nasdaq Stock Market, the Company notified Nasdaq on May 4, 2015, of this event and that the Board was no longer comprised of a majority of independent directors. On May 6, 2015, the Company received from the staff of the Listing Qualifications Department of Nasdaq a letter confirming receipt of the Company’s notice and indicating that, due to Dr. Carson’s resignation, the Company was not in compliance with Listing Rule 5605(b)(1), which requires that a majority of the Board be comprised of independent directors. Consistent with Listing Rules 5605(b)(1)(A), the Staff Letter indicated that Nasdaq will provide the Company a cure period in order to regain compliance with the independence requirement noted above. Pursuant to the Staff Letter, the Company will have until the Company’s next annual shareholders’ meeting to regain compliance. The Company fully intends to regain compliance with the independence requirements before such cure period ends to ensure continued listing on Nasdaq.
