Cooper Companies Seeks Acquisitions

The Cooper Companies Inc. (NYSE:COO) is looking for acquisitions. Chief Financial Officer Greg Matz said, "We think we're uniquely positioned for that; 600 products in the ob/gyn space alone. I've gone through this in the electronics industry; when you go to that situation, a procurement manager doesn't want to see 1,000 people. They can't. They start to limit that list and they start to shrink who they're going to talk to. We're one of the premier portfolios in ob/gyn, so we're going to be in. It also gives us an opportunity for acquisitions, because the reality is that a lot of companies that only have one product or two products aren't going to have access and it gives us an opportunity to continue to do tuck-in acquisitions around that space."

The Cooper Companies Inc. Announces Unaudited Consolidated Earnings Results for the Second Quarter and Six Months Ended April 30, 2015; Re-Affirms Earnings Guidance for the Full Year of Fiscal 2015

The Cooper Companies Inc. announced unaudited consolidated earnings results for the second quarter and six months ended April 30, 2015. For the quarter, the company announced net sales of $434,676,000 compared to $412,317,000 for the same period a year ago. Operating income was $70,998,000 compared to $88,924,000 for the same period a year ago. Income before income taxes was $66,992,000 compared to $87,821,000 for the same period a year ago. Net income was $61,137,000 compared to $79,636,000 for the same period a year ago. Net income attributable to the company was $60,713,000 compared to $79,160,000 for the same period a year ago. Diluted earnings per share attributable to the company stockholders were $1.23 compared to $1.62 for the same period a year ago. Cash provided by operations $110.6 million, capital expenditures $53.4 million, and excluding integration costs of $10.6 million resulted in free cash flow of $67.8 million. For the six months, the company announced net sales of $879,847,000 compared to $817,297,000 for the same period a year ago. Operating income was $144,106,000 compared to $170,547,000 for the same period a year ago. Income before income taxes was $134,457,000 compared to $167,276,000 for the same period a year ago. Net income was $122,886,000 compared to $151,901,000 for the same period a year ago. Net income attributable to the company was $121,892,000 compared to $151,003,000 for the same period a year ago. Diluted earnings per share attributable to the company stockholders were $2.48 compared to $3.09 for the same period a year ago. The company re-affirmed earnings guidance for the full year of fiscal 2015 and provided cash flow guidance for the full year of fiscal 2016. For fiscal 2015, the company expects revenue of $1.82 billion to $1.86 billion, down from its prior guidance of $1.858 billion to $1.91 billion. Non-GAAP earnings per share guidance of $7.40 - $7.70 reaffirmed. Fiscal year 2015 guidance is adjusted to exclude amortization of existing other intangible assets of approximately $50.7 million, or $0.78 per share, and other costs including integration expenses which the company would not have otherwise incurred as part of its continuing operations. The company is maintaining its guidance of having free cash flow and capital expenditure over $200 million this year. The company expects non-GAAP gross margin to be just north of 63% for the year. Effective tax rate is expected to be in the range of 8% to 9% and this includes transitioning Sauflon into the company’s global trade arrangement. The company continues to believe it will see lower capital expenditure in fiscal 2016 while operating cash flow continues to grow.
