Cobham plc offers a range of technologies and services to commercial, defense, and security markets worldwide. The company operates through four segments: Communications and Connectivity, Mission Systems, Advanced Electronic Solutions, and Aviation Services. The Communications and Connectivity segment provides aircraft and in-building communications equipment, law enforcement and national security monitoring solutions, and satellite communication equipment for land, sea, and air applications; and specialist composite products for military and commercial applications, and test and measure instrumentation for radio frequency, cellular communications, and wireless networking. The Mission Systems segment offers safety and survival systems for extreme environments; aerial refueling systems and wing-tip to wing-tip mission systems for jets; transport aircraft and rotorcraft; and remote controlled robots and fully equipped bomb disposal vehicles for military and homeland security. The Advanced Electronic Solutions segment provides critical solutions for communication on land, at sea, and in the air and in space, by moving data through off-the-shelf; and customized products, including radio frequency, microwave and microelectronics, antenna subsystems, and motion control solutions. This segment also supplies its products and solutions to defense, wireless/mobile and fixed broadband, X-ray imaging, medical, industrial, and point of sale markets. The Aviation Services segment delivers outsourced aviation services for military and civil customers through military training, special mission flight operations, outsourced commercial aviation, and aircraft engineering. This segment operates a fleet of 18 Boeing 717 aircraft for QantasLink, the regional airline of Qantas. Cobham plc was founded in 1934 and is based in Wimborne, the United Kingdom.

Cobham plc Announces Audit Committee Changes; Provides Earnings Guidance for the Second Half and Full Year of 2015

Cobham plc as previously announced, Alan Semple joined the Board on February 25, 2015 as a Non-executive Director and was appointed to the Board's Audit Committee at that date, at the conclusion of Annual General Meeting held on April 23, 2015, Alan will assume the role of Chair of the Audit Committee, replacing Mike Wareing, who will remain a member of that Committee. The board of company continues to anticipate that the Group's full year trading will be in line with its expectations at current exchange rates and the company remains positioned to deliver mid-single digit organic revenue growth. The integration of Aeroflex remains on track and the Group will benefit from a full year contribution from this acquisition in 2015. The Group anticipates that again there will be a greater weighting of earnings to the second half.

Cobham plc reported preliminary audited consolidated earnings results for the year ended December 31, 2014. For the year, the company reported revenue of £1,851.7 million against £1,789.7 million a year ago. Operating profit was £57.6 million against £158.8 million a year ago. Profit before taxation was £24.3 million against £126.6 million a year ago. Profit after taxation for the period was £29.0 million against £114.5 million a year ago. Profit attributable to owners of the parent was £28.8 million or 2.58 pence per diluted share against £114.3 million or 10.65 pence per diluted share a year ago. Net cash from operating activities was £167.9 million against £210.6 million a year ago. Purchase of property, plant and equipment was £63.7 million against £58.0 million a year ago. Purchase of intangible assets was £12.4 million against £11.7 million a year ago. Underlying profit before taxation was £257 million against £288 million a year ago. Underlying profit after taxation was £205 million against £231 million a year ago. Underlying earnings per diluted share was 18.5 pence against 21.6 pence a year ago. Trading profit was £287 million against £318 million a year ago. Net debt as at December 31, 2014 was £1,223 million against £453 million as on December 31, 2013. Total revenue growth of 3% driven by acquisitions and like-for-like commercial revenue growth of 5%.
