CMS Energy Corporation, through its subsidiaries, operates as an energy company primarily in Michigan, the United States. The company operates in three segments: Electric Utility, Gas Utility, and Enterprises. The Electric Utility segment generates, purchases, distributes, and sells electricity to residential, commercial, and diversified industrial customers in Michigan’s Lower Peninsula. It operates a network of coal, gas, hydroelectric, oil, and wind generation plants. This segment’s distribution system includes 421 miles of high-voltage distribution radial lines; 4,259 miles of high-voltage distribution overhead lines; 17 miles of high-voltage distribution underground lines; 55,965 miles of electric distribution overhead lines; 10,162 miles of underground distribution lines; and substations with an aggregate transformer capacity of 24 million thousand volt-amperes. The Gas Utility segment is involved in the purchase, transmission, storage, distribution, and sale of natural gas. This segment’s gas distribution and transmission consists of 26,720 miles of distribution mains; 1,657 miles of transmission lines; 7 compressor stations with a total of 151,172 installed and available horsepower; and 15 gas storage fields with an aggregate storage capacity of 309 billion cubic feet of gas and a working storage capacity of 143 billion cubic feet of gas. The Enterprises segment is engaged in the independent power production and marketing activities. As of December 31, 2012, it had ownership interests in independent power plants fueled by natural gas, coal, and biomass totaling 1,135 gross megawatts. CMS Energy Corporation was founded in 1987 and is based in Jackson, Michigan.

CMS Energy Corp. Reports Consolidated Unaudited Earnings Results for the Fourth Quarter and Year Ended December 31, 2014; Revises Earnings Guidance for the Year 2015

CMS Energy Corp. reported consolidated unaudited earnings results for the fourth quarter and year ended December 31, 2014. For the quarter, the company reported operating revenue of $1,758 million against $1,736 million a year ago. Operating income was $273 million compared to $264 million for the same period of last year. Income before income taxes was $152 million compared to $164 million for the same period of last year. Net income available to common stockholders was $96 million compared to $102 million for the same period of last year. Income per diluted share was $0.35 compared to $0.37 for the same period of last year. For the year, the company reported operating revenue of $7,179 million against $6,566 million a year ago. Operating income was $1,152 million compared to $1,142 million for the same period of last year. Income before income taxes was $729 million compared to $756 million for the same period of last year. Net income available to common stockholders was $477 million compared to $452 million for the same period of last year. Income per diluted share was $1.74 compared to $1.66 for the same period of last year. Cash provided by operating activities was $1,447 million against $1,421 million a year ago. The company raised guidance for 2015 adjusted earnings to $1.86 to $1.89 per share. This guidance is consistent with the company's long-term plan of 5% to 7% annual earnings per share growth, and builds, as always over the last dozen years, on the company's high-end actual performance.

CMS Energy and Consumers Energy Appoint Boards of Directors

Myrna M. Soto, senior vice president of Comcast Corp., and Deborah H. Butler, executive vice president of Norfolk Southern Corp., have been elected to CMS Energy's board of directors, effective January 22, 2015. They also are joining the board of directors of Consumers Energy. Soto has served since 2009 as senior vice president and chief infrastructure and information security officer for Comcast. She is responsible for enterprise information and infrastructure security strategy, focusing on the protection of customer data, security of enterprise and delivery infrastructure, and all technology compliance-related activities. Butler has served since 2007 as executive vice president of planning and chief information officer of Norfolk Southern. Soto will serve on the Audit Committee and Governance and Public Responsibility Committee for the CMS Energy and Consumers Energy boards. Butler will serve on Compensation and Human Resources Committee and Finance Committee for both boards.

CMS Energy Increases First Quarter Dividend Payable on February 27, 2015

The Board of Directors of CMS Energy increased the quarterly dividend on the company's common stock by 7.4% to 29 cents per share, up from 27 cents per share. The first quarter dividend for the common stock is payable Feb. 27, 2015 to shareholders of record on Feb. 6, 2015.
