On January 2, 2015, Nancy Karch provided notice to The Corporate Executive Board Company of her resignation from the company's Board of Directors, effective immediately. On January 5, 2015, the company's Board of Directors, upon the recommendation of the Nominating and Corporate Governance Committee, decreased the size of the Board of Directors from nine to eight members, effective immediately, eliminating the vacancy created by Ms. Karch's resignation.

CEB announced that Stacey Rauch will join its Board as an independent director. The Company also announced that its Board of Directors approved a cash dividend on its common stock for the fourth quarter of 2014 of $0.2625 per share. The Company will fund its dividend payments with cash on hand and cash generated from operations. The dividend is payable on Dec. 31, 2014 to stockholders of record at the close of business on Dec. 12, 2014.
