It owns and operates CBOE primary options market, which offers trading for listed options through a single system that integrates electronic trading and traditional open outcry trading on its trading floor in Chicago; C2, an all-electronic exchange that also offers trading for listed options; and CFE, an all-electronic futures exchange, which offers futures on the VIX Index, as well as on other products. The company’s exchanges operate on its proprietary technology platform, known as CBOE Command. It has a strategic relationship with S&P OPCO LLC, S&P Dow Jones Indices, LLC; NASDAQ; Frank Russell Co.; and MSCI Inc. CBOE Holdings, Inc. was founded in 1973 and is headquartered in Chicago, Illinois.

CBOE Holdings, Inc. Announces Unaudited Consolidated Earnings Results for the Second Quarter and Six Months Ended June 30, 2015; Reaffirms Financial Guidance for the Year 2015

CBOE Holdings, Inc. announced unaudited consolidated earnings results for the second quarter and six months ended June 30, 2015. The company’s operating revenue was $148.7 million in the second quarter of 2015, up $4.8 million, or 3%, from $143.9 million in the second quarter of 2014. This increase primarily reflects an increase of $3.7 million in transaction fees and $3.8 million in other revenue, offset somewhat by a decrease of $1.4 million in access fees and $1.1 million in regulatory fees. The increase in other revenue reflects higher regulatory fines assessed to trading permit holders resulting from disciplinary actions. Net income allocated to common stockholders of $44.6 million, or $0.54 per diluted share, for the second quarter of 2015, compared with $42.6 million, or $0.50 per diluted share, in the second quarter of 2014. Operating income was $73.370 million against $69.716 million a year ago. Income before income taxes was $73.631 million against $69.395 million a year ago. Adjusted operating income was $73.4 million against $69.7 million a year ago. Adjusted net income allocated to common stockholders was $44.6 million or $0.54 per diluted share against $42.6 million or $0.50 per diluted share a year ago. For the six months period, the company reported total operating revenues of $291.564 million against $301.827 million a year ago. Net income allocated to common stockholders was $86.726 million or $1.04 per basic and diluted share against $91.126 million or $1.06 per basic and diluted share a year ago. Operating income was $142.924 million against $151.754 million a year ago. Income before income taxes was $142.909 million against $150.938 million a year ago. Net cash flows provided by operating activities were $105.825 million against $121.236 million a year ago. Capital and other assets expenditures was $17.636 million against $28.326 million a year ago. Adjusted operating income was $142.9 million against $154.3 million a year ago. Adjusted net income allocated to common stockholders was $87.1 million or $1.04 per diluted share against $92.6 million or $1.08 per diluted share a year ago. The company reaffirmed financial guidance for the fiscal year 2015. Core expenses for the 2015 fiscal year are expected to be in the range of $190.0 million to $194.0 million. Capital expenditures are expected to be in the range of $37.0 million to $40.0 million. Depreciation and amortization expense is expected to be in the range of $46.0 million to $48.0 million. Effective tax rate for the full-year 2015 is expected to be in the range of 38.5% to 39.5%.

CBOE Holdings Increases Quarterly Dividend for the Third-Quarter, Payable on September 18, 2015

CBOE Holdings, Inc. announced that its Board of Directors has approved a 10% increase in the company's quarterly cash dividend, to $0.23 from $0.21 per share of common stock. The change will be effective with the third-quarter dividend and payable on September 18, 2015, to stockholders of record at the close of business on September 4, 2015.

CBOE Holdings Inc. announced that it promoted Andy Lowenthal to senior vice president of business development from vice president. Lowenthal's responsibilities include the business development functions of the CBOE Futures Exchange, home of futures on the CBOE Volatility Index and related products. He will also oversee business development for Livevol and will lead CBOE's newly created global client services group. Lowenthal will continue to direct CBOE's business analysis and institutional and international business development groups. He joined CBOE in 1983.
