Capital & Counties Properties PLC Announces Management Changes; Proposes Final Dividend, Payable on 19 June 2015; Reports Preliminary Consolidated Earnings Results for the Year Ended December 31, 2014

Capital & Counties Properties PLC announced that Covent Garden and Earls Court Properties have reached a scale where they would benefit from specific leadership to reach their potential. As a result Gary Yardley and Soumen Das are promoted to the role of Managing Director with responsibility for the oversight and investment performance of Earls Court & Olympia and Covent Garden respectively in addition to their existing responsibilities. Gary's title will be Managing Director & Chief Investment Officer and Soumen's title will be Managing Director & Chief Financial Officer. Both Directors will continue to report to Ian Hawksworth, Chief Executive. These changes will take effect on 1 March 2015. Andrew Huntley will be retiring from the Board at the forthcoming Annual General Meeting (AGM), and will step down from the Remuneration and Nomination Committees on 1 March 2015. The company will be welcoming Gerry Murphy as a Non-executive Director on 1 March 2015. Gerry is a former partner of Deloitte LLP, and brings a broad range of experience to the Board. The Board has proposed a final dividend of 1.0 pence per share to be paid on 19 June 2015 to shareholders on the register at 29 May 2015. Subject to SARB approval, the Board intends to offer a scrip dividend alternative. The record date for final dividend in UK and South Africa is 29 May 2015. The company reported preliminary consolidated earnings results for the year ended December 31, 2014. For the year, the company reported revenue of GBP 110.6 million compared to GBP 115.5 million a year ago. Operating profit was GBP 474.2 million compared to GBP 337.6 million a year ago. Profit before tax was GBP 450.2 million compared to GBP 347.2 million a year ago. Profit attributable to owners of the parent was GBP 448.6 million or 55.0 pence diluted per share compared to GBP 337.4 million or 43.3 pence diluted per share a year ago. Net cash inflow from operating activities was GBP 15.0 million compared to GBP 15.8 million a year ago. Purchase and development of property was GBP 251.2 million compared to GBP 114.4 million a year ago. Underlying earnings per share was 1.6 pence compared to 1.0 pence a year ago. Underlying earnings were GBP 13.1 million compared to GBP 7.3 million a year ago. Net debt has increased by GBP 15.5 million in the year principally as a result of property acquisitions and subsequent expenditure offset by proceeds from the capital raise.

Capital & Counties Properties PLC Announces Board Changes

The board of Capital & Counties Properties PLC announced the appointment of Gerry Murphy as a Non-executive Director of the company with effect from 1 March 2015. On appointment Gerry will become a member of the Remuneration Committee, Audit Committee and Nomination Committee. It is also announced that Andrew Huntley has indicated his intention to retire from the Capco Board at the company's forthcoming AGM, and to step down from the Remuneration Committee with effect from 1 March 2015. Gerry Murphy is a former Deloitte LLP partner. He was a member of the Deloitte Board for a number of years and leader of the its Professional Practices Group. He is a Non-Executive Director of Dixons Carphone plc and a Non-Executive member of the Department of Health Board.
