Caledonia Investments plc Announces Board Changes

The Board of Caledonia Investments plc announced the following changes to its board and committee membership. David Stewart and Shonaid Jemmett-Page are appointed as independent non-executive directors, David with immediate effect and Shonaid with effect from July 1, 2015. David began his career at Swire Pacific in 1981, working in various roles in Australia, Thailand, the Philippines and Hong Kong. In 2005, David joined Odey Asset Management as Chief Executive Officer, a position he held for eight years before moving to a non-executive director role from 2013 to 2014. David is currently Chairman and a co-founder of IMM Associates and a non-executive executive adviser to the board of Knight Frank. Shonaid Jemmett-Page spent the first twenty years of her career at KPMG in London and Tokyo, rising to the position of Partner, Financial Services. In 2009, Shonaid joined CDC Group as Chief Operating Officer, a position she held until 2012. Since then, Shonaid has focussed on non-executive appointments and is currently a non-executive director and chair of the audit committee of GKN, APR Energy, Amlin, Origo Partners and Greencoat UK Wind. Within the past five years she has also held non-executive directorships of Havelock Europa and Close Brothers Group. As announced in May of last year, Charles Allen-Jones had indicated a wish to step down from the board and he has retired with immediate effect. He is replaced as Senior Independent Non-Executive Director and Chairman of the Governance Committee by Charles Gregson, who will cease to be a member of the Audit Committee. Stuart Bridges is also appointed a member of the Governance Committee.

Caledonia Investments plc reported interim management statement for the quarter ended 31 December 2014. Over the quarter, NAV increased by 2.2%, from £1,493 million to £1,526 million, and the NAV per share total return was 2.6%. Consequently, the NAV at 31 December 2014 did not include any valuation adjustments to unquoted investments in the past three months. Investments during the period totalled £61.3 million, including £19.1 million in the Macquarie Asia New Stars public equity fund. At 31 December 2014, the company held net cash of £75.5 million, compared with £49.1 million at 30 September 2014.

Caledonia Investments plc announced unaudited group and parent financial results for the six months ended September 30, 2014. For the period, the company reported on group basis total revenue of £76.5 million against £25.3 million a year ago. Profit before finance costs was £65.7 million against £23.3 million a year ago. Profit before tax was £64.6 million against £23.5 million a year ago. Profit for the period was £66.6 million or 119.3 pence per diluted share against £24.7 million or 44.0 pence per diluted share a year ago. Net cash flow from operating activities was £15.6 million against £13.1 million a year ago. Diluted net asset value per share as on September 30, 2014 was 2,675 pence against 2,319 pence as at September 30, 2013. Net cash flow from operating activities on company basis was £13.6 million against £12.6 million a year ago.
