BM&FBOVESPA S.A. organizes, develops, and operates free and open securities markets for spot and future settlements in Brazil. It operates through BM&F, Bovespa, and Institutional and Corporate Products segments. The BM&F segment offers trading and settlement of securities and contracts consisting of trading systems, including electronic trading and trading through Internet; recording, clearing, and settlement systems; and custodian systems for agribusiness securities, gold, and other assets. This segment also trades in commodities, foreign exchange, and public debt, and services provided by BM&FBOVESPA Bank and the Brazilian Commodities Exchange. The Bovespa segment provides services at various stages of the trading cycle, such as fixed and variable income, and equity securities on the stock exchange and over the counter (OTC) markets; and manages the national stock exchange and OTC market for trading of variable income securities, including stocks, stock receipts, Brazilian depository receipts, stock derivatives, subscription warrants, various types of closed-end investment fund shares, shares representing audiovisual investment certificates, non-standard options to purchase and sell securities, and other securities authorized by the Brazilian Securities Commission. The Institutional and Corporate Products segment offers services, such as depository of securities, as well as lending and listing of securities; data services and classification of commodities; and technological products. The company is headquartered in São Paulo, Brazil.

Agenda: To receive Management's annual report, and to receive, review and judge the financial statements as of and for the year ended December 31, 2014; to consider the proposal on allocation of net income for the year ended December 31, 2014 and on dividends; to elect the members of the Board of Directors; to set the aggregate compensation amount payable in 2015 to members of the board of directors and the board of executive officers; and to consider and vote Management's proposal to amend the provisions of the Bylaws of the company.

BM&F Bovespa SA Reports Earnings Results for the Fourth Quarter and Full Year of 2014; Provides Financial Guidance for the Fiscal 2015 and 2016

BM&F Bovespa SA reported earnings results for the fourth quarter and year of 2014. For the quarter, the company revenues grew by 13.4% in comparison with the same period last year. This was caused mainly by volume increases in both derivatives and equities, connected with a volatility around the elections. Accounting net income grew by 28.5%, while adjusted net income grew by 9%. It is important to know that its accounting net income includes equity income from its stake in CME. For the full year, the company revenues decreased by 5%. Accounting net earnings of BRL 977 million was also negatively impacted in BRL 63 million by its extraordinary payment in the third quarter of this year connected to a tax relief program. In 2014, the company executed CapEx of BRL 240 million, in line with the announced budget. For 2015, The company expects to invest between BRL 200 million and BRL 230 million in CapEx. And then in 2016, The company expects to invest between BRL 165 million and BRL 195 million in CapEx.
