Black Hills Corporation, through its subsidiaries, operates as a diversified energy company in the United States. The company’s Electric Utilities segment generates, transmits, and distributes electricity to approximately 203,500 electric customers in South Dakota, Wyoming, Colorado, and Montana; and distributes natural gas to approximately 35,500 gas utility customers in Cheyenne, Wyoming. This segment owns 790 megawatts of generation capacity and 8,599 miles of electric transmission and distribution lines. Its Gas Utilities segment distributes natural gas to approximately 538,000 natural gas utility customers in Colorado, Nebraska, Iowa, and Kansas. This segment owns 604 miles of intrastate gas transmission pipelines and 19,998 miles of gas distribution mains and service lines. The company’s Power Generation segment produces electric power and sells the electric capacity and energy primarily to its utilities under long-term contracts. Its Coal Mining segment produces coal at its coal mine located near Gillette, Wyoming and sells the coal to electric generation facilities. The company’s Oil and Gas segment explores, develops, and produces crude oil and natural gas primarily in the Rocky Mountain region. This segment’s principal assets include the operating interests in the properties in the San Juan basin, the Powder River basin, and the Piceance basin; and non-operated interests in wells located in the Williston, Wind River, Bear Paw Uplift, Arkoma, Anadarko, and Sacramento basins. As of December 31, 2013, it had total reserves of approximately 87 billion cubic feet equivalent of natural gas and crude oil. Black Hills Corporation also provides appliance repair services to approximately 62,000 residential customers; and constructs gas infrastructure facilities for gas transportation customers. The company was founded in 1941 and is headquartered in Rapid City, South Dakota.

Black Hills Corporation Announces Board Changes

Black Hills Corp. announced changes in the composition of its board of directors. Warren L. Robinson, director since 2007, informed the board that, for personal health-related reasons, he will resign from the board effective with the annual meeting of shareholders on April 28, 2015. Steven R. Mills, a current member of the audit committee, has been appointed audit committee chairman to be effective with Robinson's resignation. The board elected Linda K. Massman to the company's board of directors, effective immediately. She will serve on the compensation committee. Since 2013, Massman has held the positions of president and chief executive officer of Clearwater Paper Corporation. The board also temporarily increased the size of the board from 10 to 11 directors until the effective date of Robinson's resignation to allow for a smooth transition in directors.

Black Hills Corp. Declares Quarterly Dividend Payable on March 1, 2015

The Black Hills Corp. board of directors declared a quarterly dividend on the corporation's common stock. Shareholders of record at the close of business on Feb. 13, 2015, will receive $0.405 per share, payable on March 1, 2015. The quarterly dividend was increased by $0.015 per common share, or 3.9%, to $0.405 per share, equivalent to an annual increase of $0.06 and dividend rate of $1.62 per share.

Black Hills Corporation Announces Executive Appointments

On January 5, 2015, Black Hills Corporation announced the appointment of Esther J. Newbrough as Vice President - Corporate Controller and Kimberly F. Nooney as Vice President - Treasurer. Ms. Newbrough is a 14-year veteran of the Company and has served in numerous positions during her tenure, including Assistant Corporate Controller since 2010 and Director of Internal Audit prior to that. Before joining the Company she worked in public accounting for 14 years. Ms. Nooney is an 18-year veteran of the Company. She has served in numerous roles including internal audit, corporate development, accounting systems, treasury, and financial planning and analysis.
