Berkshire Hills Bancorp, Inc., through its subsidiaries, provides retail and commercial banking, insurance, and wealth management services. The company operates in two segments, Banking and Insurance. It offers various deposit accounts, such as interest-bearing and noninterest-bearing checking, regular savings, money market savings, time certificates of deposit, NOW, and retirement deposit accounts; and loans, including residential mortgage, commercial mortgage, commercial business, and consumer loans. The company also provides wealth management services comprising investment management, trust administration, estate planning, and private banking, as well as investment products, financial planning, and brokerage services. In addition, it offers personal and commercial property, and casualty insurance; employee benefits insurance; and life, health, and financial services insurance products. Further, the company provides retail and commercial electronic banking services, commercial cash management services, and commercial interest rate swap instruments for commercial customers; and debit cards and other electronic payment services to transaction account customers. It serves retail, commercial, not-for-profit, and municipal customers. The company operates 92 full service branches in Massachusetts, New York, Connecticut, and Vermont; and commercial and residential lending offices located in Eastern Massachusetts. Berkshire Hills Bancorp, Inc. was founded in 1846 and is headquartered in Pittsfield, Massachusetts.

On or about February 11, 2015, a purported stockholder of Hampden Bancorp, Inc. filed a putative class action lawsuit in the Superior Court of Massachusetts for Hampden County against Hampden, its board of directors, and Berkshire Hills Bancorp, Inc., captioned Brian Levy v. Hampden Bancorp, Inc. et al. The lawsuit alleges that Hampden's directors breached their fiduciary duties to Hampden's stockholders, and that the company aided and abetted those breaches, by engaging in an allegedly unfair process leading to Hampden's sale to the company and by allegedly failing to maximize value for Hampden's stockholders. The lawsuit also alleges that Hampden's proxy statement contained material omissions. The lawsuit seeks, among other things, equitable relief enjoining the sale agreement. The company believes this complaint is baseless and without merit and intends to vigorously defend this action.

Berkshire Hills Bancorp Inc. reported unaudited consolidated earnings results for the fourth quarter and full year ended December 31, 2014. For the quarter, the company reported net income of $11,398,000 or $0.46 per basic and diluted share on total net revenue of $60,847,000 compared to net income of $10,537,000 or $0.42 per diluted share on total net revenue of $55,556,000 for the corresponding period last year. For the year, the company reported the company reported net income of $33,744,000 or $1.36 per basic and diluted share on total net revenue of $226,461,000 compared to net income of $41,143,000 or $1.65 per diluted share on total net revenue of $226,984,000 for the corresponding period last year. Core return on assets was 0.75% compared to 0.73% a year ago. Return on assets was 0.71% compared to 0.77% a year ago. Core return on equity was 6.89% compared to 5.87% a year ago. Core return on tangible equity was 11.96% compared to 10.47% a year ago. Return on tangible equity was 6.52% compared to 6.18% a year ago. Tangible book value was $17.19 against $16.27 a year ago. Total book value per share increased by 4% to $28.17.  The Board of Directors of the company declared a cash dividend of $0.19 per share to shareholders of record at the close of business on February 12, 2015, payable on February 26, 2015. This is a penny increase from $0.18 and the new dividend equates to a 3.0% annualized yield based on the $25.05 average closing price of Berkshire's common stock during the fourth quarter.
