Atrium European Real Estate Limited Completes Acquisition of Arkády Pankrác Shopping Centre in Prague

Atrium European Real Estate Limited announced that the Atrium Group has completed the acquisition of a 75% interest in the Arkády Pankrác shopping centre in Prague, the Czech Republic for a consideration of EUR 162 million. The 75% stake was acquired from Unibail-Rodamco S.E. and it will be held in a joint venture with the Otto family, which continues to own the remaining 25%. The transaction has been financed using existing cash resources. Arkády Pankrác, which is well located in Prague 4, a high density residential area that is also evolving as a business location, opened in 2008 and is a prime modern shopping centre comprising 38,200 sqm of retail GLA, along with parking for c.1,100 cars. With footfall increasing every year since opening and reaching over 11 million in 2013, the centre is well established as one of the principal shopping centres in Prague. The centre is 99.5% occupied and has a weighted average lease term of over six years. It is occupied by c.120 retail tenants comprising a strong mix of mid to upper segment retail brands including Albert hypermarket, Inditex and LPP Group fashion brands, a Datart electronics store, as well as H&M, New Yorker, Humanic and Peek & Cloppenburg.

Atrium European Real Estate Limited Announces Results of Tender Offer for the EUR 130,000,000 Floating Rate Notes Due 2017

Atrium European Real Estate Limited announced the acceptances and results of its invitation to holders of its EUR 130,000,000 Floating Rate Notes due 2017 (ISIN: AT0000496633) (the Notes) to tender their Notes for purchase by the company for cash (the Offer). The Offer was made on the terms and subject to the conditions contained in the tender offer memorandum dated 5 June 2015 (the Tender Offer Memorandum) prepared by the company. Acceptance of EUR 77.40 million in aggregate nominal amount of the Notes tendered pursuant to the Offer. The Offer expired at 5.00 p.m. (Vienna time) on 19 June 2015. Of the EUR 130 million in aggregate nominal amount of Notes currently outstanding (of which EUR 46.15 million in aggregate nominal amount of the Notes are currently held by the Company), approximately EUR 77.40 million in aggregate nominal amount of the Notes have been validly tendered for purchase in accordance with the terms and conditions of the Offer. The company has decided to accept for purchase all such Notes validly tendered pursuant to the Offer, with no pro rata scaling. As a result of these acceptances, after the settlement of the Offer the company will hold approximately EUR 123.55 million of the EUR 130 million in aggregate nominal amount of Notes. The company will pay EUR 1,080 (the Purchase Price) for each EUR 1,000 in nominal amount of the Notes accepted by the company for purchase pursuant to the Offer. The company will also pay Accrued Interest on the Notes accepted by it for purchase pursuant to the Offer. Settlement of the Offer is expected to occur on 23 June 2015.
