Allison Transmission Holdings, Inc. and its subsidiaries design, manufacture, and sell commercial and defense automatic transmissions for medium- and heavy-duty commercial vehicles, and medium- and heavy-tactical U.S. defense vehicles. It offers transmissions for various applications, including distribution, refuse, construction, fire, and emergency on-highway trucks; school, transit, and hybrid-transit buses; motor homes; energy and mining off-highway vehicles and equipment; and wheeled and tracked defense vehicles. The company offers 13 transmission product lines with approximately 100 different product models. It markets its transmissions under Allison Transmission brand name and remanufactured transmissions under ReTran brand name. The company also sells branded replacement parts, support equipment, and other products necessary to service the installed base of vehicles utilizing its transmissions, as well as defense kits, engineering services, and extended transmission coverage services to various original equipment manufacturers, distributors, and the U.S. government. In addition, it designs and manufactures hybrid-propulsion systems for transit buses. Allison Transmission Holdings serves customers through an independent network of approximately 1,400 independent distributor and dealer locations worldwide. The company was formerly known as Clutch Holdings, Inc. Allison Transmission Holdings, Inc. was founded in 1915 and is headquartered in Indianapolis, Indiana.

Allison Transmission and ValueAct Capital Announce Cooperation Agreement

Allison Transmission Holdings Inc. announced that it has entered into a cooperation agreement with ValueAct Capital. The cooperation agreement governs ValueAct Capital's investment in Allison Transmission and includes an option for ValueAct Capital to have the company appoint Mr. Spivy to the company's Board of Directors. This option may be exercised by ValueAct Capital until 60 days prior to Allison Transmission's 2016 annual meeting of stockholders. The cooperation agreement also includes customary "standstill" provisions, by which ValueAct Capital has agreed that it will not submit any nominations for election to the board of directors or stockholder proposals and will vote in favor of the election of Allison Transmission's board nominees.

Allison Transmission and Cummins Receive Air Resources Board Approval in California for the H 40/50 EP(TM) System Paired with ISB6.7 and ISL9 Engines

Allison Transmission Holdings Inc. announced that they have received approval from the Air Resources Board (ARB) in California to sell the Allison H 40/50 EP(TM) hybrid propulsion system paired with Cummins ISB6.7 and ISL9 diesel-electric hybrid engines for transit buses and coaches. Allison's H 40/50 EP hybrid propulsion system is used for both straight and articulated transit buses. It has been shown to improve fuel economy up to 25% over similar diesel buses. Additionally, its regenerative braking capability can significantly extend the brake change interval by as much as 350%. The dual Executive Order (EO) issued by the ARB to both Allison and Cummins allows sales of the Allison H 40/50 EP with the Cummins ISB6.7 or ISL9 hybrid engine, and is valid for 2014 models. Allison and Cummins will also apply for a 2015 EO. The Cummins ISB6.7 and ISL9 diesel-electric hybrid engines feature proven technology designed and developed in-house that is optimized to deliver the efficiency, durability and performance transit bus customers expect. The ISB6.7 diesel-electric hybrid engine is rated at 280 hp (209kW) while the ISL9 diesel-electric hybrid engine is rated at 330 hp (246kW) for the transit bus market.

Allison Transmission Holdings Announces Total Electrification Option for Components Used with its H 40/50 EP(TM) System

Allison Transmission Holdings Inc. announced availability of a new option to fully electrify components used with its H 40/50 EP(TM) hybrid propulsion system for transit buses and coaches. IAP II builds on the foundation of Allison's parallel hybrid propulsion system, as well as its release with the Vanner HBA and IAP I. Like IAP I, IAP II utilizes a high voltage distribution module (HVDM) for intelligent control of high voltage electrical power and an HBA (or dual HBAs) for DC to DC conversion of high voltage to 24 DC. However, IAP II adds an inverter that converts high voltage DC to high voltage AC that can power electric air conditioning, electric air compressor and power steering, while simultaneously eliminating the cost and need for the air conditioning system's integral inverter. The IAP II system is available in standard and articulated bus applications. All components will be delivered to OEMs on a pre-assembled and pre-wired rack. The racked solution enables customers to specify only those electrified components that they demand, while also offering better troubleshooting and easier maintenance than a boxed or individually sourced solution. Vanner will coordinate warranties for the IAP II 'racked' components.
