The company’s products include ANSYS Workbench, a framework upon which the company’s engineering simulation technologies are built; ANSYS Engineering Knowledge Manager, a solution for simulation-based process and data management challenges; and high-performance computing product suite delivering cross-physics parallel processing capabilities for the company’s simulation software. It also offers geometry handling solutions for engineering simulation; meshing technology that transforms a physical model into a mathematical model; structures analysis product suite, which offers simulation tools for product design and optimization; explicit dynamics product suite that simulates physical events; and composite analysis and optimization technology. In addition, the company provides fluids products that provide modeling of fluid flow and other related physical phenomena; electronics products, which provide field simulation software for designing electronic and electromechanical products; and power analysis and optimization software. Further, it offers system simulation capability, a collaborative environment that leverages multiphysics, multibody dynamics, circuit, and embedded software simulation capabilities; multiphysics product suite, which creates virtual prototypes of designs; SCADE, a solution for embedded software simulation and code production; 3-D direct modeling technology that provides a CAD-neutral environment; and academic product suite with a portfolio of academic products based on associate, research, and teaching. Ansys, Inc. Appoints Guy E. Dubois to the Board of Directors as a Class I Director

On September 1, 2015, Guy E. Dubois accepted an offer to join the ANSYS, Inc. Board of Directors as a Class I Director effective September 1, 2015 and to serve until the 2018 Annual Meeting of Stockholders or until his successor is elected and qualified or until his earlier death, resignation or removal. Mr. Dubois will also be appointed to the Compensation Committee of the Board effective September 1, 2015.

Ansys, Inc. Releases ANSYS 16.2

ANSYS announced the release of ANSYS 16.2, latest advances in Systems Engineering Technology. ANSYS 16.2, engineers can now create virtual prototypes of complete systems, enabling them to make significant strides in innovation and to unleash next-generation products within their industries. As products - from automobiles to smartphones to wearable technology - become more complex and development times continue to shrink, the need to simulate whole systems grows. Through simulation, engineers can take full advantage of the growing number of opportunities presented by the rapid innovation of materials, electronics and processes. While some manufacturers have optimized the design of components or smaller sub-systems, until present ANSYS release, no comprehensive solution has existed for simulating complete systems. The complexity within systems arises from the challenges of connecting the individual pieces to ensure they work together as designed. By developing complete virtual prototypes, leading companies can jump-start their innovation and leapfrog the competition. ANSYS 16.2 offers significant advancements in systems engineering through ANSYS(®) AIM(®), the first integrated and comprehensive multiphysics simulation environment designed for engineers, which was introduced earlier 2015. AIM has rapidly developed and ANSYS 16.2 represents its next step forward. Among the many new multiphysics and systems capabilities are heat transfer and thermal-stress, gas flows, and structural deformation and stress.

Ansys, Inc. Announces Amendment to its Second Amended and Restated By-Laws

On August 4, 2015, the Board of Directors of Ansys, Inc. adopted an amendment to its Second Amended and Restated By-laws, as amended, to include a new Article VII entitled Exclusive Jurisdiction of Delaware Courts. In accordance with Section 115 of the Delaware General Corporation Law, Article VII designates the Court of Chancery of the State of Delaware as the sole and exclusive forum, to the fullest extent permitted by law, and unless the Company consents to the selection of an alternative forum, for (i) any derivative action or proceeding brought on behalf of Ansys, (ii) any action asserting a claim of a breach of a fiduciary duty owed by any director, officer or other employee of Ansys to Ansys or Ansys's stockholders, (iii) any action asserting a claim arising pursuant to any provision of the Delaware General Corporation Law, Ansys's Certificate of Incorporation or Ansys's A&R Bylaws or (iv) any action asserting a claim governed by the internal affairs doctrine. The Amendment went into effect on August 4, 2015.
