AAR CORP. provides products and services to commercial aviation, government, and defense markets worldwide. The company operates through two segments, Aviation Services and Technology Products. The Aviation Services segment sells and leases various new, overhauled and repaired engine, and airframe parts and components to commercial and defense customers; provides customized inventory supply and management, warranty claim management, and outsourcing programs for engine and airframe parts and components; and offers customized performance-based logistics programs in support of the U.S. Department of Defense and foreign governments. This segment also provides airframe maintenance inspection and overhaul, painting, line maintenance, airframe modification, structural repair, avionic service and installation, exterior and interior refurbishment, and engineering services, as well as support for commercial and military aircraft; and repair and overhaul for landing gears, wheels, brakes, and actuators; and airlift services, such as fixed-and rotary-wing flight operations, and transporting personnel and cargo to government customers, as well as sells and leases used commercial aircraft. The Technology Products segment designs, manufactures, and repairs transportation pallets, temperature-controlled containers, and containers and shelters used in support of military and humanitarian tactical deployment activities; designs, manufactures, and installs in-plane cargo loading and handling systems for commercial aircraft, military aircraft, and helicopters; and provides engineering, design, and system integration services for specialized command and control systems. The company primarily markets and sells products and services through its employees and sales agents. As of May 31, 2014, it held four aircraft in joint ventures and two wholly-owned aircraft. The company was founded in 1951 and is headquartered in Wood Dale, Illinois.

AAR Corp. Enters into an Amendment to Its Credit Agreement

On March 24, 2015, AAR CORP. entered into an amendment to its credit agreement dated April 12, 2011, as amended, with various financial institutions, as lenders and Bank of America, N.A., as administrative agent for the lenders (the Credit Agreement). Under the terms of the Credit Agreement as in effect prior to the Amendment, the aggregate revolving credit commitment amount under the Credit Agreement was $475 million. The Amendment increases the above-referenced $475 million to $500 million, and generally reduces the interest rate on borrowings by 0.25%. Under certain circumstances, the company also could request an increase to the revolving commitment by an aggregate amount of up to $250 million, not to exceed $750 million in total. The Amendment also extends the maturity of the Credit Agreement by approximately two years to March 24, 2020. The Amendment also deleted the minimum fixed charge coverage ratio and added a minimum interest coverage ratio. Except as specifically amended and modified by the Amendment, the terms and conditions of the Credit Agreement remain in effect.

AAR Corp.'s Unit AAR Airlift Wins $19 Million Contract from the United Nations

AAR Corp. (AIR) announced its unit AAR Airlift won a $19 million contract from the United Nations to provide airlift services in Central Africa. Specifically, AAR Airlift will provide passenger and cargo charter services in support of the U.N.'s stabilization mission in the Democratic Republic of Congo. Operations will start in July 2015 and run for a 3-year period.

AAR Provides Earnings Guidance for the Third Quarter Ended Feb. 28, 2015 and for the Fourth Quarter of Fiscal Year 2015 Ending May 31, 2105

AAR provided earnings guidance for the third quarter ended Feb. 28, 2015. The company's results will come in expectations due to lower flying positions and flight hours in its Airlift operations that have resulted in a reduction of approximately $7.6 million of operating profit from the second to the third quarter of fiscal year of 2015. A $6 million pre-tax charge to reduce the carrying value of certain aircraft and rotable inventory at Airlift, which have been previously classified as held for sale and for which the company has committed to a more aggressive disposition strategy. A $2.5 million pre-tax charge for employee severance related to corporate downsizing and costs of a large government bid. A previously announced $40 million pre-tax impairment charge for the write down of the Precision Systems Manufacturing business. The company expects to report a loss in the range of 0.73 to 0.76 cents per share for the third quarter. The group expected in the fourth quarter of its fiscal year 2015 ending May 31, 2105, the company will generate net cash proceeds, after cash taxes and expenses, of approximately $600 million. As previously disclosed, the company will record a pre-tax gain on the sale of approximately $200 million.
