Brower Piven Commences Class Action Lawsuit Against Appliance Recycling Centers of America, Inc. in the United States District Court

The securities litigation law firm of Brower Piven announced that a class action lawsuit has been commenced in the United States District Court for the Central District of California on behalf of purchasers of Appliance Recycling Centers of America Inc. common stock during the period between March 15, 2012 and February 11, 2015, inclusive. Investors who wish to become proactively involved in the litigation have until May 5, 2015 to seek appointment as lead plaintiff. The complaint accuses the defendants of violations of the Securities Exchange Act of 1934 by virtue of the defendants’ failure to disclose during the Class Period that ARC’s financial statements contained errors concerning sales tax related to its appliance replacement programs, and the Company lacked adequate internal controls over its financial reporting. According to the complaint, following the Company’s August 6, 2014 announcement that the California Board of Equalization was conducting an examination of sales and use taxes covering ARC’s appliance replacement programs and the Company’s February 11, 2015 announcement that it expects an assessment of at least $4 million from the BOE that will require it to restate its previously issued financial statement for the years ended December 28, 2013, December 29, 2012 and December 31, 2011, for the quarters in those years, and for the quarters ended March 29, June 28 and September 27, 2014, the value of ARC’s shares declined significantly.

Appliance Recycling Centers of America, Inc. Announces Unaudited Consolidated Earnings Results for the Fourth Quarter and Year Ended January 3, 2015

Appliance Recycling Centers of America Inc. announced unaudited consolidated earnings results for the fourth quarter and year ended January 3, 2015. Revenues for the fourth quarter of 2014 were $31.8 million, which is $0.8 million or 2.4% less than the same period in 2013 due mainly to the receipt of $0.7 million in carbon offsets in the fourth quarter of 2013. The fourth quarter of 2014 was also impacted by lower byproduct revenues due to a decline in scrap prices. Loss before income taxes and noncontrolling interest was $922,000 compared with 2013 income before income taxes and noncontrolling interest of $504,000. Operating loss was $643,000 compared with operating income of $868,000, last year. The net after tax loss for the fourth quarter of 2014 was $0.6 million, or $0.10 per basic and diluted share, compared with net after-tax income of $2.0 million, or $0.34 per diluted share, reported during the same period in the prior year. This variance was caused by the deferred tax asset valuation allowance adjustment mentioned above, timing of carbon offset income, scrap price erosion, and the impact of promotional retail pricing in ApplianceSmart division. For the year, the company reported profitable results on sales. Total revenues in 2014 were $130.9 million, up 2.3% compared with 2013 revenue of $127.9 million. The company's reported net income in 2014 was $0.8 million, or $0.13 per diluted share. This compares with net income in 2013 of $3.1 million, or $0.55 per diluted share, which included the impact of a deferred tax asset valuation allowance adjustment that added $2.2 million, or $0.37 per diluted share, to 2013 net income. Operating income was $2,551,000 compared with $3,396,000, last year. Income before income taxes and noncontrolling interest was $1,509,000 compared with $2,054,000, last year.
