GCL-Poly Energy Holdings Limited, an investment holding company, operates as a solar photovoltaic company in the People’s Republic of China and internationally. The company operates in three segments: Solar Material Business, Power Business, and Overseas Solar Power Plant Business. The Solar Material Business primarily manufactures and sells polysilicon and wafer to companies operating in the solar industry; and is engaged in the system integration business. The Power Business segment is involved in the development, construction, management, and operation of power plants; and sale of coal. Its power plants include coal fuelled cogeneration, resources utilization cogeneration, gas fuelled cogeneration, biomass fuelled cogeneration, incineration, and solar plants, as well as a wind power plant. As of December 31, 2013, this segment operated 30 power plants. The Overseas Solar Power Plant Business segment is engaged in the development, construction, management, operation, and sale of overseas solar plants. The company is also involved in the manufacture and sale of ingots, crucibles, and metallurgical grade silicons; trading of wafers, solar cells, modules, and steam; operation of boilers; and provision of management services. GCL-Poly Energy Holdings Limited has a strategic cooperation agreement with GCL New Energy Holdings Limited and China Singyes Solar Technologies Holdings Limited for the development, construction, operation, and upstream and downstream cooperation of distributed and ground photovoltaic power stations, supply chain of manufacturing photovoltaic material, project engineering, asset cooperation of photovoltaic power stations, and the smart microgrids project. The company was incorporated in 2006 and is headquartered in Kowloon, Hong Kong.

The board of directors of GCL-Poly Energy Holdings Limited announced the following changes which will take effect from 23 January 2015: Mr. Zhu Zhanjun has become an executive director and the Executive President of the Company to oversee the daily operation and management of the polysilicon and wafer business of the Company; Mr. Shu Hua ceased to act as the Executive President of the Company and has been re-designated as a non-executive director of the Company; Ms. Sun Wei has resigned as an executive director of the Company, a member of the remuneration committee and strategic planning committee of the Company; and Mr. Zhu Yufeng has become a member of the remuneration committee and Mr. Yeung Man Chung, Charles has become a member of the strategic planning committee.
