Hong Kong Exchanges and Clearing Limited, through its subsidiaries, owns and operates stock exchanges and futures exchanges, and related clearing houses in Hong Kong. It operates in five segments: Cash, Equity and Financial Derivatives, Commodities, Clearing, and Platform and Infrastructure. The Cash segment covers various equity products traded on the cash market platforms, the Shanghai Stock Exchange, and the Shenzhen Stock Exchange; sale of market data relating to the products; and other related activities. The Equity and Financial Derivatives segment provides and maintains trading platforms for a range of equity and financial derivative products, such as stock and equity index futures and options, derivative warrants, and callable bull/bear contracts and warrants, as well as other related activities. The Commodities segment operates an exchange for the trading of base metals futures and options contracts in the United Kingdom; and develops and operates commodity trading platform in the Mainland. This segment also comprises the Asia Commodities contracts traded on Hong Kong Futures Exchange Limited. The Clearing segment operates clearing houses that are responsible for clearing, settlement, and custodian activities of the company’s exchanges; and clearing and settlement of over-the-counter derivatives contracts. The Platform and Infrastructure segment offers various services that provide users with access to the platform and infrastructure. Hong Kong Exchanges and Clearing Limited is based in Central, Hong Kong.

Hong Kong Exchanges & Clearing Limited Reports Unaudited Consolidated Earnings Results for the First Quarter Ended March 31, 2017

Hong Kong Exchanges & Clearing Limited reported unaudited consolidated earnings results for the first quarter ended March 31, 2017. For the quarter, the company reported revenue and other income of $3,048 million against $2,751 million a year ago. EBITDA was $2,215 million against $1,897 million a year ago. Profit attributable to shareholders of the company was $1,716 million against $1,432 million a year ago. Diluted earnings per share were $1.40 against $1.18 a year ago. Operating profit was $2,040 million against $1,709 million a year ago. Profit before taxation was $2,009 million against $1,684 million a year ago. During First Quarter, the Group incurred capital expenditure of $139 million against $111 million a year ago.

Hong Kong Exchanges and Clearing Limited Approves Board Changes; Approves Final Dividend

Hong Kong Exchanges and Clearing Limited approved the election of Cheah Cheng Hye and Leung Pak Hon, Hugo as a Directors of the company for a term of not more than approximately three years from the conclusion of the AGM until the conclusion of the annual general meeting of the company to be held in 2020, at the AGM held on April 26 April 2017. Mr. John Harrison, Dr. Bill Kwok and Mr. Vincent Lee retired from the Board of Directors of the company after the conclusion of the AGM. As announced on 10 March 2017, the appointment of Mr. Stephen Yiu as a Director by the Hong Kong Government took effect after the conclusion of the AGM and his term of office shall be approximately two years until the end of the annual general meeting of the company to be held in 2019. At the same meeting, the company approved a final dividend of HKD 2.04 per share.
