Japan Government Investors Reportedly Tell Toshiba Of Plan To Join Chip Unit Bidding

Innovation Network Corporation of Japan and Development Bank of Japan Inc. have formally informed Toshiba Corporation (TSE:6502) of their intention to take part in bids for its prized flash memory chip business, sources familiar with the matter said. Innovation Network Corp of Japan and Development Bank of Japan told the conglomerate of their intention on May 19, 2017, said the sources, who declined to be identified because the talks were private. It was not clear whether INCJ and DBJ were working together or if they would be teaming up with other suitors. INCJ declined to comment. A representative for DBJ was not immediately available to comment.

SK Hynix Reportedly To Join Bidding Of Toshiba Memory Division

SK Hynix Inc. (KOSE:A000660) is set to join the second bidding to take over the memory division of Toshiba Corporation (TSE:6502), industry sources said May 19, 2017. According to the sources, SK hynix has conducted a study on the acquisition under a request from Toshiba. SK hynix is widely expected to suggest a price higher than $18 billion proposed during the first bidding. Hon Hai Precision Industry Co., Ltd. (TSEC:2317) and Broadcom Corporation are also expected to join the bidding. Western Digital Corporation (NasdaqGS:WDC), however, is presumed to have been excluded in the second bidding.

Western Digital Corp. Takes Legal Action to Block Toshiba Corp.'s Chip Unit Sale

Western Digital Corp., a joint venture partner of Toshiba Corp. announced on May 14, 2017 that it has filed a petition with an international arbitration court, seeking an order to ban the Japanese firm's flash menmory unit sale without its consent. The U.S. hard disk drive maker filed the request with the Paris-based International Chamber of Commerce's International Court of Arbitration. The move is seen increasing uncertainty over Toshiba's reconstruction efforts, as it could affect the struggling electronics and machinery maker's plan to complete the sale of its chip unit by the March 2018 end of fiscal 2017 in order to secure funds to help sort out its financial dire straits caused by massive losses from its U.S. nuclear business. While Western Digital has offered to spend some JPY 1.6 trillion on acquiring Toshiba Memory Corp. in the first round of auction, a rival bidder is believed to have proposed buying it at a price exceeding JPY 2 trillion. The U.S. company has demanded exclusive negotiating rights for the chip unit, claiming that Toshiba's planned sale of the unit to a third party through auction violates their partnership contract. In response, Toshiba has warned that it may deny Western Digital employees entry to their flash joint memory plant in Yokkaichi, Mie Prefecture, central Japan. While it remains to be seen whether the arbitration court will actually ban Toshiba's sale of the chip business, the legal action by Western Digital could prompt rival bidders to reconsider their plans for the second round of auction as it poses a risk that their acquisition efforts could fall through. In a statement issued on May 15, 2017, Toshiba rejected Western Digital's claim, saying that it did not violate the joint venture contract and that it believes there are no grounds for the U.S. company to stop the chip unit sale process.
