Kunlun Energy Company Limited Provides Earnings and Impairment Guidance for the Year Ended 31 December 2016

Kunlun Energy Company Limited provided earnings and impairment guidance for the year ended 31 December 2016. For the period, the company expects, be even slower than previously estimated. In view of the above, the company conducted an impairment test on the underlying assets of the Natural Gas Distribution segment under the Group (Relevant Assets). According to the initial assessment by the management, the company may possibly provide for an impairment loss of RMB 3,000 million to RMB 4,000 million (impairment loss) against the Relevant Assets. Such impairment loss has yet to be confirmed and audited. Upon confirmation, such Impairment Loss will be reflected in the consolidated financial statements of the Group for the year ended 31 December 2016. The Group is expected to record a decrease in profit attributable to the owners of the company for the 2016 financial year as compared with the restated comparable figure for the year ended 31 December 2015.

The board of directors of Kunlun Energy Company Limited announced that Dr. Lau Wah Sum ("Dr. Lau") has tendered his resignation as an independent non-executive director of the company since he has reached the age of retirement. Such resignation has taken effect on 1 January 2017. With effect from 1 January 2017, Dr. Lau has also ceased to be a member of the Audit Committee, Remuneration Committee and Nomination Committee of the Board. Dr. Lau has confirmed that he has no disagreement with the Board and there is no matter that needs to be brought to the attention of the shareholders of the Company and The Stock Exchange of Hong Kong Limited in respect of his resignation.

Kunlun Energy and China Power International Holding Limited signed a strategic cooperation framework agreement in Beijing, pursuant to which the parties agreed to conduct comprehensive cooperation in the fields of natural gas power generation, distributed energy and natural gas supply and pipeline construction. The parties are optimistic about the prospects for the development of natural gas power generation and distributed energy. Upon signing of the agreement, they will make use of their respective advantages to promote and build a series of gas and distributed energy projects and ancillary natural gas pipeline network.
