China Resources Land Limited Enters into Facility Agreement for HKD 7,800,000,000 Term Loan Facility with Syndicate of Banks

On 23 April 2015, China Resources Land Limited, as borrower, entered into a facility agreement for a HKD 7,800,000,000 term loan facility with a syndicate of banks. The loan facility shall become mature on the date falling four years from the first advance date. Pursuant to the facility agreement, it shall be an event of default if CRH ceases to be the single large shareholder of the Company; CRH ceases to own not less than 35% of the issued share capital of the Company; or CRH ceases to have the ability from a practical perspective to control the appointment by the company's shareholders of directors to the board of the company. If an event of default under the facility agreement occurs, the bank shall declare any commitment under the facility agreement to be cancelled and/or declare all outstanding amounts together with interest accrued thereon and all other sums payable by the company under the facility agreement to be immediately due and payable.

China Resources Land Limited Recommends Final Dividend, Payable on July 3, 2015

China Resources Land Limited recommended a final dividend of HK 41.0 cents per share of the company together with the interim dividend of HK 8.5 cents per share, the 2014 full-year dividend amounted to HK 49.5 cents, representing an increase of 13.3% over that of 2013. The final dividend is payable on 3 July 2015 to the shareholders whose names appear on the register of members of the company on 16 June 2015.
