The company also provides engineering construction and engineering general contracting services. In addition, it manufactures equipment and industrial furnaces for non-ferrous metals industry, as well as provides research, technology consulting, investment, construction drawing examination, property management, project supervision, trading, and software development and technical services, as well as is involved in the real estate development activities. The company was founded in 2003 and is headquartered in Beijing, the People’s Republic of China. China Aluminum International Engineering Corporation Limited is a subsidiary of Aluminum Corporation of China Limited.

China Aluminum International Engineering Corporation Limited Announces Fifth Tranche of 2015 Non-Public Placement Debt Financing Instruments of RMB 0.5 Billion

Reference is made to the announcement of China Aluminum International Engineering Corporation Limited (the "Company") dated 30 December 2013, the announcement of the Company dated 4 September 2014, the announcement of the Company dated 5 December 2014, the announcement of the Company dated 12 February 2015 and the announcement of the Company dated 22 May 2015 in relation to the issuance of non-public placement debt financing instruments in the PRC. The board of directors (the "Board") of the Company announced that, under the macro background of general tightening of monetary, the Company will make use of the non-public placement debt financing instruments at a relatively low interest rate for financing. The Company received a "Notification on Acceptance of Registration from the National Association of Financial Market Institutional Investors on 25 December 2013 confirming the acceptance of the Company's application for issuing the non-public placement debt financing instruments with a total issuance amount of RMB 5 billion in the People's Republic of China (the "PRC"). In order to meet the requirement for the issuance of other types of bonds by the Company, the Company had applied for an approval for a reduction of such registered instruments. The National Association of Financial Market Institutional Investors confirmed the acceptance of the application made by the Company on 8 August 2014. After the reduction, the registered amount is RMB 4.5 billion. The registration is valid for two years and the instruments are to be issued in tranches within the effective period of the registration. The Company has issued the fifth tranche of 2015 non-public placement debt financing instruments on 22 December 2015 with issuance amounts of RMB 0.5 billion with a maturity period of 180 days. The unit face value is RMB 100 with an interest rate of 4.15% per annum.

The board of directors of China Aluminum International Engineering Corporation Limited announced that due to change of work, Mr. ZHANG Zhankui has submitted his resignation to the company on December 23, 2015 to resign as a non-executive director and a member of the Audit Committee of the Board of the company. Mr. ZHANG Zhankui will cease to hold any position in the company upon his resignation. The Board announced that Mr. Li Yihua has been nominated as a non-executive director of the company, with a term from the date of the approval at the general meeting of the company to the date on which the current session of the Board expires. Li Yihua worked in the legal affairs department in Yuntianhua Group Co. Ltd. from July 2001 to July 2003. He held various positions in Guiyan Platinum Co., Limited including the deputy head, the head, and the representative of securities affairs of the investment and development department from February 2004 to December 2009. He has been the deputy director of the legal department of Aluminum Corporation of China since May 2013, and the director of China Aluminum International Trading Corporation Limited since September 2015. The Board announced that Mr. Wang Jun has been appointed as a member of the Audit Committee of the Board of the company, with a term from the date of this announcement to the date on which the current session of the Board expires. Mr. Wang served as the chief financial officer and the executive director of the company from April 2011 to May 2015; has been serving as the joint company secretary of the Company since November 2011.
