Pursuant to the transaction, American Kiosk's shareholders would receive one newly issued share for every six American Kiosk shares held on date of the proposed transaction. American Kiosk Corporation engages in the sale of franchises to operate fast food outlets from stand alone, in-line and drive-through retail units.
