Sapient Corporation entered into an Agreement and Plan of Merger with Publicis Groupe S.A. and 1926 Merger Sub Inc. In connection with the Merger, and at the Effective Time, each of the directors of the company immediately prior to the Effective Time, James M. Benson, Jerry A. Greenberg, Alan J. Herrick, Silvia Lagnado, J. Stuart Moore, Robert L. Rosen, Eva Sage-Gavin, Ashok Shah, Vijay Singal and Curtis R. Welling, voluntarily resigned from the Board of the Directors of the company and Anne-Gabrielle Heilbronner became the sole director of the company.

Morgan & Morgan announced that a class action lawsuit has been filed in the Delaware Court of Chancery on behalf of all common stockholders of Sapient Corp. challenging the proposed acquisition of Sapient by Publicis Groupe S.A. The complaint arises out of the November 3, 2014 announcement that Sapient had entered into a definitive merger agreement with Publicis Groupe, pursuant to which Sapient shareholders will receive $25.00 in cash for each share of Sapient common stock they own.
