On December 4, 2015, SQBG Inc. (formerly known as Sequential Brands Group Inc.) (old sequential) and Martha Stewart Living Omnimedia Inc. (the company or MSLO), consummated the transactions contemplated by the agreement and plan of merger, dated as of June 22, 2015, as amended, by and among Sequential Brands Group Inc. (formerly known as Singer Madeline Holdings Inc.) (new sequential), Old Sequential, MSLO, Singer Merger Sub Inc. and Madeline Merger Sub Inc., as amended (the merger agreement). On December 4, 2015, in connection with the mergers, the company amended and restated its Certificate of Incorporation and Bylaws.

For the quarter, total revenues were $17,460,000 against $29,611,000 a year ago. Operating loss was $1,279,000 against $14,850,000 a year ago. Loss before income taxes was $1,169,000 against $14,798,000 a year ago. Net loss was $1,479,000 against $11,065,000 a year ago. Loss per basic and diluted share was $0.03 against $0.19 a year ago. The anticipated decline was primarily due to the company's partnership with Meredith Corporation under which the company no longer recognize advertising and circulation revenue from Martha Stewart Living and only receive a share of digital revenues (in exchange for licensing out sales, printing, distribution and hosting costs) as well as lower Merchandising revenues.
