MANN+HUMMEL GMBH is purchasing Affinia Group Inc.'s auto filter unit for $1.3-1.4 billion, a person familiar with the transaction said on August 16, 2015. Mann + Hummel and Affinia were not immediately available for comment outside business hours.
Affinia Group Inc. Announces Earnings Results for the Second Quarter and Six Months of 2015

Affinia Group Inc. announced earnings results for the second quarter and six months of 2015. For the quarter, the company reported total sales of $242 million, down 9% compared to the prior year, while currency adjusted sales declined 1.5%. Sales were negatively affected by the strength of the U.S. dollar. Overall, excluding the impact of currency, second quarter 2015 consolidated sales were $262 million, a 1.5% decrease compared to the prior year. Adjusted EBITDA was $31 million, a decrease of $10 million compared to the second quarter of last year. Excluding the impacts of currency, adjusted EBITDA was $35 million. This decline was largely driven by lower volumes in North American Filtration operations due to the decision last year to terminate relationship with CARQUEST. Net debt at June 30 was $763 million.
For the year to date period, sales were $465 million, a decrease of $44 million or 8.6% compared to $509 million in the same period in the prior year. Again, year-to-date results were impacted by the strong U.S. dollar. Overall, excluding the impact of currency, year-to-date 2015 consolidated sales were $515 million, an increase of 1.2% over last year. Adjusted EBITDA on a year-to-date basis was $57 million, a decrease of $12 million compared to the first 6 months of last year. The decrease was primarily driven by unfavorable currency and lower overall volumes in its North American Filtration operations. Excluding the impact of currency, adjusted EBITDA was $69 million or flat compared to last year. The company spent $11 million on capital expenditures in the first half, most of which have been on growth and expansion projects in the Filtration segment.
