Boilermech Oretech Sdn Bhd Enters into Commercialisation Agreement with Commonwealth Scientific and Industrial Research Organisation

The Board of Directors of Boilermech Holdings Berhad announced that its wholly-owned subsidiary, Boilermech Oretech Sdn Bhd (formerly known as Prominent Discovery Sdn Bhd) (BOSB) has on 21 April 2015 entered into a Commercialisation Agreement (the Commercialisation Agreement) with Commonwealth Scientific and Industrial Research Organisation (acting through its Food and Nutrition Flagship) (CSIRO) for the commercialisation by BOSB of certain CSIRO patents, patent applications and know-how in respect of the technology created by CSIRO to enhance oil extraction efficiency from oil palm fruit (Technology) in return for technology transfer fee to be paid to CSIRO. In conjunction thereto, Boilermech has on even date signed a Parent Company Deed with CSIRO and BOSB, in which Boilermech guarantees that it shall continue to be responsible for BOSB's obligations under the Commercialisation Agreement if BOSB fails to fulfill those obligations. Term: The term of the Commercialisation Agreement is for a period of fifteen (15) years from 21 April 2015, unless earlier terminated in accordance with the Commercialisation Agreement. Licence grant: CSIRO grants BOSB an exclusive licence to exploit the patents, patent applications and know-how in the application of the Technology to improve the efficiency, sustainability and profitability of oil extraction from oil palm fruit subject to BOSB's compliance with the other conditions of the Commercialisation Agreement. Technology Transfer Fee: In consideration of CSIRO granting the above licences to BOSB, CSIRO shall be paid an agreed technology transfer fee for each enhanced oil recovery system which incorporates any of the Technology sold by BOSB for installation in any palm oil mill. The fee is payable only for each installation. Termination: BOSB may terminate the Commercialisation Agreement by giving six months' notice in writing to CSIRO.
