OceanFirst Financial Corp., the holding company for OceanFirst Bank, announced the appointment of Steven J. Tsimbinos to Executive Vice President of OceanFirst Financial Corp. and OceanFirst Bank. Mr. Tsimbinos joined OceanFirst Financial Corp. in September of 2010 as First Senior Vice President, General Counsel and Corporate Secretary, and continues to serve in these positions. As General Counsel, Mr. Tsimbinos is responsible for managing the Bank’s Legal Department. Mr. Tsimbinos also has administrative oversight over the Company’s Audit and Enterprise Risk Management departments. Mr. Tsimbinos reports to President and Chief Executive Officer Christopher D. Maher. Prior to joining OceanFirst in 2010, Mr. Tsimbinos held the positions of General Counsel and Chief Compliance Officer in the Red Bank, New Jersey office of Copper River Management, L.P. and partner in the law firm Lowenstein Sandler PC in Roseland, New Jersey; and began his legal career with Thatcher Proffitt & Wood in New York.

Michael D. Devlin Adds to Board of Directors of OceanFirst Financial Corp. and OceanFirst Bank

OceanFirst Financial Corp. announced the closing of its acquisition of Cape Bancorp Inc. ('Cape'). OceanFirst is the holding company for OceanFirst Bank. In accordance with the terms of the merger agreement, Michael D. Devlin, former President and Chief Executive Officer of Cape, has been added to the board of directors of OceanFirst Financial Corp. and OceanFirst Bank.

OceanFirst Financial Corp. and OceanFirst Bank to Appoint Michael D. Devlin to its Board

On January 5, 2016, Cape Bancorp Inc. entered into an Agreement and Plan of Merger by and among the Company, OceanFirst Financial Corp. (“OceanFirst”), a Delaware corporation and the parent company of OceanFirst Bank, and Justice Merger Sub Corp. (“Merger Sub”), a Maryland corporation and the wholly-owned subsidiary of OceanFirst. Pursuant to the Merger Agreement, Merger Sub will merge with and into the Company, with the Company as the surviving entity, and immediately thereafter the Company will merge with and into OceanFirst, with OceanFirst as the surviving entity (the “Merger”). It is anticipated that immediately after the Merger, Cape Bank, a New Jersey-chartered savings bank, will merge with and into OceanFirst Bank, a federal savings bank, with OceanFirst Bank as the surviving bank. Pursuant to the terms of the Merger Agreement, Michael D. Devlin, President and Chief Executive Officer of the Company and Cape Bank, will be appointed to the boards of directors of OceanFirst and OceanFirst Bank following the Merger.
