Telefónica To Exit Telecom Italia

Telefónica, S.A. (CATS:TEF) plans to exit Telecom Italia S.p.A. (BIT:TIT) after finalization of the purchase of Global Village Telecom (Holding) S.A. from Vivendi Société Anonyme (ENXTPA:VIV). "After the GVT operation the message is clear, we don't want to stay in Telecom Italia," Telefónica, S.A.'s Chairman Cesar Alierta said. Telecom Italia S.p.A. declined to comment.

Vivendi Société Anonyme (ENXTPA:VIV) has selected Telefónica, S.A. (CATS:TEF) to enter into exclusive discussions regarding sale of Global Village Telecom (Holding) S.A. (GVT), spurning a bid from Telecom Italia S.p.A. (BIT:TIT). Telefonica seeks to fold GVT into Vivo. As per the deal, Vivendi will get €4.66 billion in cash from Telefonica and a 12% stake in the combined Vivo-GVT venture.

Vivendi Société Anonyme (ENXTPA:VIV) is in talks to sell Global Village Telecom (Holding) S.A. (GVT).According to people close to the matter, Goldman Sachs and Credit Suisse are acting as financial advisor for GVT. One person, seeking anonymity, added that discussions have been under way for more than two months. Telecom Italia S.p.A. (BIT:TIT) (TIT) said this week it’s considering proposing an alliance with GVT’s parent Vivendi, that would involve merging the companies’ Brazilian units, an offer that would compete with Telefonica SA (TEF)’s bid for GVT. Telecom Italia said recently that it is studying whether to suggest an ‘industrial combination’ to Vivendi, including joining TIM Participacoes S.A. (BOVESPA:TIMP3) with GVT. It said no offer has been finalized or made. Bloomberg News reported recently that Telecom Italia had approached Vivendi. Two people close to the matter stated that talks have taken place between Telecom Italia Chief Executive Officer, Marco Patuano and Vivendi Chairman, Vincent Bollore. The talks were already under way before Telefonica offered to buy GVT for €6.7 billion in August 2014. Folha de S.Paulo reported that Telecom Italia will offer to merge Tim and GVT, giving Vivendi an unspecified stake in the combined business plus a 20% stake in Telecom Italia, a deal valued at as much as €7 billion. The report added that press representatives for GVT, Goldman Sachs and Credit Suisse declined to comment while a spokesman said that Vivendi hasn’t hired any banks.
