TDJ conducts Due Diligence On Cegielski Acquisition

TDJ Spolka Akcyjna placed a preliminary bid for purchasing H. Cegielski - Poznan S.A. TDJ plans to conduct due diligence of the Cegielski and hold talks with the Treasury before making a decision on a likely buy. Czeslaw Kisiel, Chief Executive Officer of TDJ, says that the fund wants to know what the Treasury expects from the buyer. TDJ is bidding for 90.58% stake in Cegielski. The Treasury invited investors to negotiations over Cegielski sale in January 2013, but ended the process without any decision, as TDJ was the only bidder to place an offer. TDJ was again the only bidder in yet another tender called in April, 2013.

H. Cegielski - Poznan To Be Privatized

The Treasury Ministry of Poland announced an auction for sale of 90.58% stake in H. Cegielski - Poznan S.A. Auction applications are to be submitted by June 7, 2013. The stake constitutes approximately 2.03 million shares with a nominal value of PLN 50.00 each. 210,600 shares which constitutes 9.42% of the share capital of the company, will be free of charge and available to eligible employees of the Company. The Minister of Treasury provides for the disposal of shares not covered by eligible employees to an entity selected in preliminary negotiations undertaken on the basis of a public call, in the event of expiry of the right to unpaid servants entitled to buy those shares.

H. Cegielski Privatization Dropped

The Treasury Ministry has dropped negotiations on privatization of H. Cegielski - Poznan S.A.and closed the procedure, resigning from share sale.
