Atlantic Proposes To Acquire Windimurra Vanadium Project

Atlantic Ltd made a proposal to acquire Windimurra vanadium and iron ore project from Midwest Vanadium Pty Ltd on February 3, 2016. In exchange for the transfer of the Project, Atlantic Ltd will pay $0.25 million to be distributed to the administrators and unsecured creditors. To secure the proposal, Atlantic will pay a $1 million deposit to the receivers, which will be refunded upon completion of the transaction. The transaction is subject to a number of conditions precedent including FIRB approval, consents required to transfer the mine properties and related approvals, Atlantic Vanadium Holdings Pty Ltd and Midwest Vanadium Pty Ltd creditor approval and the senior secured noteholders consenting to the release of their security save as to the excluded assets.

Matthew Caddy, Keith Crawford and Norman Oehme of McGrath Nicol, receivers and managers of Windimurra Vanadium Project owner Midwest Vanadium Pty Ltd. are seeking buyers for the project and Gresham Advisory Partners Limited has been appointed to seek buyers.

Midwest Vanadium Pty Ltd Announces Amendments to the Existing $29.7 Million Secured Loan Facility Agreement

On 22 December, Atlantic Ltd. and its wholly-owned subsidiary Midwest Vanadium Pty Ltd. (MVPL) announced a new forbearance and support agreement with the holders of a majority of MVPL’s senior secured notes to extend until 16 January 2015 the existing standstill arrangements that ended on 15 December 2014. In conjunction with this forbearance agreement, MVPL also agreed related amendments to the existing $29.7 million secured loan facility agreement with Droxford International Limited (Droxford) to extend the maturity date of that facility until 16 January 2015. Earlier in December, MVPL successfully concluded a formal consent process to implement certain technical indenture amendments agreed as part of the November forbearance agreement.
