U.S. Securities and Exchange Commission Issues Order Granting Eaton Vance Management Exemptive Relief to Permit the Offering of Exchange-Traded Managed Funds

Eaton Vance Management announced that the U.S. Securities and Exchange Commission (SEC) has issued an order (Order) granting Eaton Vance and related parties an exemption from certain provisions of the Investment Company Act of 1940, as amended, to permit the offering of exchange-traded managed funds. This action follows the notice of intent to grant exemptive relief issued by the SEC on November 6, 2014 and approval by the SEC on November 7, 2014 of a new NASDAQ Stock Market LLC rule governing the listing and trading of exchange-traded managed funds. The order applies to 18 initial exchange-traded managed funds for which Eaton Vance filed registration statements on July 30, 2014 and future funds managed by Eaton Vance and its affiliates that comply with the terms and conditions of the order. Aspects of the operation of exchange-traded managed funds are protected intellectual property held by an Eaton Vance affiliate, Navigate Fund Solutions LLC (Navigate). Navigate intends to enter into license and services agreements with Eaton Vance and other registered investment advisers (Licensed Advisers) to permit the offering of exchange-traded managed funds. The Eaton Vance exemptive application provides that other Licensed Advisers may file requests for exemptive relief that incorporate by reference the terms and conditions of the order.

Eaton Vance Management announced the launch of Eaton Vance Bond Fund II (Class A: EBTAX, Class C: EBTCX, Class I: EBTIX), a non-diversified mutual fund seeking total return, managed by a team led by Kathleen Gaffney, CFA, Vice President of Eaton Vance. Eaton Vance Bond Fund II employs a bottom-up, research-driven and value-oriented approach to investing across income markets, including U.S. investment grade and high yield bonds, non-U.S. sovereign and corporate debt, floating-rate bank loans and convertible securities. Under normal market conditions, Bond Fund II invests at least 80% of its net assets in bonds and other fixed and floating-rate income instruments. In addition to Ms. Gaffney, the Fund's portfolio managers are Henry Peabody, CFA, Stephen Concannon, CFA, and Michael Turgel, CFA/CPA, each a Vice President of Eaton Vance. Different from the established Bond Fund, Bond Fund II will not have a strategic allocation to common stocks.
