Arvest Bank Group, Inc. and Bear State Financial Inc. Face Merger-Related Lawsuit

Bear State Financial Inc., its board and would-be acquirer Arvest Bank Group Inc. are facing a shareholder lawsuit in connection with their pending merger. Plaintiff Paul Parshall claims the Arkansas-based companies' proxy statement omitted material information regarding their deal, and is therefore false and misleading. Specifically, the filing did not disclose the projections that financial adviser Raymond James actually used in its valuation analysis, nor certain other non-GAAP metrics used in calculations. The lawsuit was filed Oct. 13 in the U.S. District Court for the Eastern District of Arkansas.

Arvest Bank Promotes Case Barnwell to Community Bank President in Delaware County

Arvest Bank announced that Case Barnwell has been promoted to community bank president for Delaware County. Most recently serving as an Arvest commercial loan officer, Barnwell has eight years of experience in the banking industry and has worked specifically in agricultural, consumer and mortgage lending, as well as bank operations. He also worked for two years as an accountant for Cherokee Nation Businesses. In his new role, Barnwell will have overall responsibility for business development and team leadership in Delaware County. He will develop and manage a portfolio of agricultural and commercial loans, assume responsibility for the Delaware County balance sheet and income statement, and represent Arvest in the community.
