China Southern Airlines Co. Ltd. announced that at the AGM held on June 30, 2015, the company approved the appointment of Mr. Guo Wei and Mr. Jiao Shu Ge as the independent non-executive directors and the said appointment took effect on the date of passing of the resolutions at the AGM. Mr. Wei Jin Cai resigned as an independent non-executive director of the Company upon the date of the effective appointment of Mr. Guo Wei and Mr. Jiao Shu Ge. The Board also resolved that Mr. Ning Xiang Dong and Mr. Guo Wei be appointed as the members of the Strategic Decision-making Committee; Mr. Jiao Shu Ge be appointed as the member of the Audit Committee; Mr. Yuan Xin An and Mr. Guo Wei be appointed as the members of the Remuneration and Assessment Committee and Mr. Tan Jin Song cease to be a member of the Remuneration and Assessment Committee; and Mr. Jiao Shu Ge be appointed as the member of the Nomination Committee.
The Board also announced that the company will distribute 2014 final dividends of RMB 393 million, or RMB 0.40 per 10 Shares (inclusive of applicable tax) based on the total number of 9,817,567,000 Shares. The final dividends will be paid to shareholders whose names appear on the register of members of the Company at the close of business on Tuesday, 21 July 2015. Holders of A shares whose names are on the Company's register of members of A shares on 5 August 2015 will be entitled to receive the final dividend and the final dividend is expected to be paid to the holders of A shares on or around 6 August 2015.

Talk Renews Over Merger of China's Airline Cargo Operations

Talk of consolidation in China's airline sector has renewed with the cargo operations of the three largest state-owned airlines said to be the subject of a merger plan. Xinhua reported on June 24, 2015, the cargo operations of China Southern Airlines Co. Ltd. (SHSE:600029), China Eastern Airlines Corp. Ltd. (SEHK:670), Air China Limited (SEHK:753) would be merged "to form the largest cargo operator in Asia", citing Zhou Laizhen, a Deputy Director of the Civil Aviation Administration of China. But a CAAC spokeswoman on June 25, 2015, denied Zhou had made such remarks. "I do not know where Xinhua's source is," she said, adding the CAAC would have no oversight of any merger of the three state-owned enterprises. Ray Lo, a director at Air China Cargo, said, "I have not heard of this." Two senior cargo managers at China Eastern and China Southern similarly said they were not aware of such plans.
