Zhejiang Jirun Automobile Company Limited and Shanghai Maple Guorun Automobile Company Limited entered into the joint venture agreement with the Xin Dayang Mechanical and Electrical Group Company Limited. The joint venture will be engaged in the research and production of automobile parts, components and engines, production of electric vehicles and the provision of related after-sale services. The contribution of the Lanzhou Plant to the Joint Venture will be a deemed disposal of a subsidiary for the company. The registered capital of the joint venture will be RMB 1,000 million and will be held in the following manner: The Geely Parties: 50% - The Joint Venture Parties: 50%. The registered capital of the joint venture was determined after arm's length negotiations between the parties. Reasons for the establishment of the Joint Venture: The development of electric vehicles in the past decade has established electric vehicles as a major branch of the mainstream vehicles market, with almost all major brands now having hybrid or pure electric vehicles in their products line up.

Kandi and Geely Enter into Joint Venture Contract to Establish Zhejiang Kandi Electric Vehicles Co, Ltd

Kandi Technologies Group, Inc. announced that on March 22, 2013, the company's wholly owned subsidiary, Zhejiang Kandi Vehicles Co. Ltd. ('Kandi Vehicles') entered into a Joint Venture Agreement with Shanghai Maple Guorun Automobile Company Limited ('Shanghai Maple') to establish a joint venture company of Zhejiang Kandi Electric Vehicles Co. Ltd. Pursuant to the JV Agreement, the registered capital for the JV Company is CNY 1 billion (approximately $160 million) and each party will contribute 50% of the registered capital in cash and will each own 50% of the JV Company. The business scope of JV Company is to develop, manufacture and sell electric vehicles (the "EVs") and to develop, purchase, manufacture and sell auto parts, and invest in other companies which engage in such businesses.
