Under the terms of the merger, USA Waste issued 1.70 shares of its common stock for each share of Sanifill outstanding common stock. Previously, Sanifill, Inc. and its subsidiaries were engaged in the ownership, operation, acquisition, and development of nonhazardous waste disposal, waste treatment, waste collection, recycling, waste transfer, and complementary businesses located in the United States, the Commonwealth of Puerto Rico, Mexico, and Canada.
