Lakeland, Pascack Enter into MOU to Settle Merger-Related Lawsuit

Lakeland Bancorp Inc. and Pascack Bancorp Inc. on Dec. 2 entered into a memorandum of understanding with lead plaintiffs to settle a lawsuit over their proposed merger. The suit claims Pascack's board breached its fiduciary duties regarding the merger agreement and claims that Lakeland abetted in such a breach. Under the contemplated settlement, Pascack's proxy statement for its special shareholder meeting to vote on the merger will have supplemented disclosures, including additional details in its merger background.
