New Mountain Reportedly Solicits Blackstone For Stake In JDA Software

The Blackstone Group L.P. (NYSE:BX) is contemplating an offer by New Mountain Capital, LLC that could give Blackstone Group a minority stake in JDA Software Group, Inc., Wall Street Journal reported citing people familiar with the situation. New Mountain last week reached out to Blackstone Group, proposing a $570 million structured financing deal in exchange for preferred stock and equity warrants in JDA Software that would entitle Blackstone Group to a 40% stake in JDA Software and guarantee a return of 7.5%, one of the people said. The person added the deal is contingent on the outcome of JDA’s negotiations with Honeywell International Inc. (NYSE:HON). The Wall Street Journal reported this week Honeywell is close to sealing a deal to acquire JDA for about $3 billion, including debt. In soliciting Blackstone as a potential investor in JDA Software, New Mountain is actively exploring a number of options to address the high levels of debt at JDA Software.
Blackstone Offers Alternative To JDA Software Sale To Honeywell

Honeywell International Inc. (NYSE:HON) has been presented with a challenge in its pursuit of JDA Software Group, Inc. after The Blackstone Group L.P. (NYSE:BX) proposed a financing plan as an alternative to a sale, Reuters reported, citing sources in the know. Earlier in August, Reuters reported that Honeywell was in negotiations to acquire JDA Software, majority owned by New Mountain Capital, LLC. As told by the insiders at the time, a deal could value JDA Software at some $3 billion, debt included. However, New Mountain now has an alternative in the form of the deal proposed by Blackstone. It involves what is known as payment-in-kind financing, the coupon to be paid with additional securities, according to some of the sources. Such an arrangement would leave Blackstone with a sizeable minority interest in the business, they added.
