Sierra Club Reaches Settlement with Ameren Missouri in Coal Plant Case

A federal court on July 21 approved a settlement agreement between Ameren Missouri and the Sierra Club to settle alleged emissions violations at three of Ameren's coal plants. Ameren Missouri, would provide $2 million in funding for environmentally beneficial projects such as installing electric vehicle charging stations for public use, solar panels at commercial properties or converting diesel or gas powered vehicles to cleaner fuels, according to the settlement agreement that the parties signed on May 26. The settlement agreement was reviewed by the U.S. District Court for the Eastern District of Missouri, which on July 21 granted the parties' motion to the dismiss the case, according to a court's latest order. The settlement agreement was signed by Union Electric Co., the legal name of Ameren Missouri. Under the agreement, the Sierra Club can suggest projects to receive the funds, but Ameren Missouri will make the final project selections and funding distribution decisions, the agreement stated. Half of the funds would be dedicated to school and public transit bus electrification projects, including building electric charging stations.

On June 23, 2016, Union Electric Company, doing business as Ameren Missouri, issued and sold $150 million aggregate principal amount of its 3.65% Senior Secured Notes due 2045, which Notes are a further issuance of the Senior Secured Notes due 2045 previously issued on April 6, 2015 in the aggregate principal amount of $250 million. The Notes were issued pursuant to a Registration Statement on Form S-3 (File No. 333-205139-01), which became effective on June 22, 2015, and a Prospectus Supplement dated June 20, 2016, to a Prospectus dated June 22, 2015. Ameren Missouri received net offering proceeds of approximately $147.9 million, before expenses, upon the closing of the transaction. Ameren Missouri used the net offering proceeds to repay outstanding short-term debt.
