In May 1997, Wellsford Residential Property Trust was acquired by Equity Residential. Wellsford Residential Property Trust, prior to the acquisition, was engaged in acquiring, developing, and operating residential multifamily communities located in the southwest and Pacific northwest regions of the United States. The company elected to be taxed as a REIT under the Internal Revenue Code of 1986. As a REIT, it would not be subject to federal income taxation at the corporate level to the extent that it distributes annually at least 95% of its REIT taxable income to its shareholders.
