Novelis Announces Senior Notes Offering

Novelis Inc. announced that its indirect wholly-owned subsidiary, Novelis Corporation, is proposing to offer $1.5 billion aggregate principal amount of its senior notes (the "Notes"), in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended (the "Securities Act"). The Notes will be guaranteed, jointly and severally, on a senior unsecured basis, by Novelis, and by certain of Novelis' subsidiaries. Novelis intends to use the net proceeds of the offering to fund the repayment of all of Novelis' outstanding 8.75% Senior Notes due 2020 pursuant to its previously announced tender offer or otherwise, with any remaining proceeds for general corporate purposes. The Notes have not been registered under the Securities Act and have not and will not be offered or sold within the United States or to U.S. persons, except to qualified institutional buyers in reliance on the exemption from registration provided by Rule 144A under the Securities Act and to certain persons in offshore transactions in reliance on Regulation S under the Securities Act.

Novelis Inc. announced the completion of the previously announced offering of $1.15 billion aggregate principal amount of 6.25% senior notes due 2024 by Novelis Corporation, an indirect wholly-owned subsidiary of Novelis. The Notes are guaranteed, jointly and severally, on a senior unsecured basis, by Novelis, and by certain of Novelis' subsidiaries. The net proceeds of the offering will be used to retire Novelis' outstanding 8.375% Senior Notes due 2017. The Notes were offered in a private offering that was exempt from the registration requirements of the Securities Act of 1933, as amended. The Notes were offered within the United States to qualified institutional buyers in accordance with Rule 144A and outside the United States in accordance with Regulation S under the Securities Act.

Novelis Corporation Prices $1,150 Million Private Offering of Senior Notes

Novelis Inc., through its indirect wholly-owned subsidiary Novelis Corporation, has priced its private offering of $1,150 million aggregate principal amount of 6.25% senior notes due 2024. The notes will be guaranteed, jointly and severally, on a senior unsecured basis, by Novelis, and by certain of Novelis' subsidiaries. The transaction is expected to close on August 29, 2016. Novelis intends to use the net proceeds from the offering to repay up to $500 million of outstanding 8.375% senior notes due 2017.
